BUSINESS SOLUTIONS AGREEMENT

This Business Solutions Agreement (the Agreement) is entered into as of Effective Date: by and between Client Name: and Provider Name: .

Recitals

WHEREAS, Client requires business solutions, consulting, systems integration, and related services to improve operations and deliverables; and

WHEREAS, Provider represents that it possesses the personnel, expertise, and resources necessary to perform the services described in this Agreement under the terms and conditions herein; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the engagement of Provider by Client;

Scope of Work

Payment Terms

Compensation: Client shall pay Provider the total fee of (the Total Fee) in accordance with the schedule below. All amounts are in U.S. Dollars unless otherwise specified.

Method of Payment:

Late Payment: Any undisputed amount not paid within days of the invoice due date shall accrue interest at or the maximum amount permitted by law, whichever is less.

Term and Termination

Term: The term of this Agreement shall commence on Start Date: and shall terminate on End Date: unless earlier terminated as provided herein.

Termination for Convenience: Either party may terminate this Agreement without cause upon written notice delivered at least days prior to the intended termination date. Termination shall not relieve Client of the obligation to pay for services performed and approved deliverables delivered through the effective date of termination.

Confidentiality

Definition: For purposes of this Agreement, "Confidential Information" means non-public information disclosed by either party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Obligations: Each party shall (i) use Confidential Information solely for the performance of its obligations under this Agreement, (ii) restrict disclosure to those employees, contractors, and agents with a need to know and who are bound by confidentiality obligations no less protective than those herein, and (iii) use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

Exceptions and Duration: Confidential Information does not include information that is independently developed without reference to the other party's Confidential Information, is or becomes publicly known through no breach, or is rightfully received from a third party without restriction. The obligations in this Section shall survive termination of this Agreement for years.

Representations; Warranties; Liability

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder. Provider warrants that the services will be performed in a professional manner consistent with industry standards. EXCEPT FOR THE EXPRESS WARRANTIES CONTAINED HEREIN, ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, ARE DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Limitation of Liability: Except for liability arising from gross negligence, willful misconduct, or breaches of confidentiality, neither party's aggregate liability to the other shall exceed the total fees paid by Client to Provider under this Agreement during the twelve (12) months immediately preceding the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction indicated below without regard to conflict of law principles.

Entire Agreement

This Agreement, together with any exhibits or addenda executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, proposals, negotiations, and agreements, whether written or oral. Any amendment or modification must be in writing and executed by authorized representatives of both parties.

Notices

All notices under this Agreement shall be in writing and delivered to the addresses set forth below or such other address as a party may designate in writing. Notices are effective upon receipt.

The parties acknowledge that they have read and understand this Agreement, have the authority to bind their respective principals, and agree to be bound by its terms.
