What the Business Source Form Is and When It’s Used

The Business Source Form documents the origin and key details of a commercial relationship, such as a lead source, vendor referral, or client acquisition channel. It captures standardized identity, contact, and transaction source data so organizations can onboard vendors, reconcile referral fees, and support audit trails. The form can be executed on paper or completed and signed electronically; when signed electronically, ESIGN (15 U.S.C. ch. 96) and applicable state UETA rules govern legal effect and admissibility in the United States.

Why a Standardized Business Source Form Matters

Using a consistent Business Source Form reduces onboarding errors, preserves provenance for audit and tax reporting, and creates an auditable record of who referred or supplied a business opportunity. Electronic workflows maintain timestamps and signer attribution while cutting manual processing time.

Why a Standardized Business Source Form Matters

Which Teams Typically Complete the Business Source Form

Different departments use the form for related purposes; alignment speeds processing and reduces duplicate requests.

  • Procurement and sourcing teams use the form when adding new vendors to ensure consistent onboarding data and compliance.
  • Sales and business development teams record referral sources, commission entitlements, and lead attribution for internal reporting.
  • Finance and accounts payable use the form to verify payee details and support accurate 1099 or vendor-record reporting.

Coordinating which group owns the form and the routing rules is essential to avoid delays and data conflicts.

Typical Signers and Their Roles

Procurement Manager

A procurement manager reviews vendor details, confirms compliance checks, and signs to approve vendor onboarding. They ensure the source entry matches supplier vetting records and route the form for finance setup.

Authorized Signer

An authorized company representative (owner, officer, or designated agent) certifies the accuracy of the business source information and accepts any contractual or payment terms tied to the onboarding process.

Common Errors to Avoid When Preparing the Form

  • Entering a trade name instead of the legal business name, which can prevent matching to IRS records and delay vendor setup.
  • Providing an incorrect or missing EIN/TIN, triggering backup withholding or delaying 1099 filings for payees.
  • Failing to attach verification documents (W-9, license), which can cause repeated follow-ups and slow onboarding.
  • Using inconsistent date formats or omitting the effective date, complicating contract start dates and reporting periods.

Key Risks and Potential Penalties

Missing TIN: May trigger 24% backup withholding
Incorrect 1099 Data: Penalties under IRC §6721 apply
Unauthorized Disclosure: HIPAA breaches can incur fines
Late Filings: Per-form fines escalate under IRS rules
Poor Audit Trail: Increases legal dispute risk
Unverified Signatures: Can undermine enforceability
