What a Business Space Agreement Covers

A Business Space Agreement is a written contract that sets the terms under which one party grants another the right to occupy, operate, or use commercial premises. Typical provisions include the premises description, lease term, permitted uses, rent and payment terms, maintenance and repairs, utilities allocation, insurance requirements, default and remedies, and termination rights. The agreement may be standalone or incorporated into broader commercial leases, subleases, license arrangements, or coworking membership contracts and is used to define responsibilities and limit liability between landlord and tenant.

Why a Clear Business Space Agreement Matters for Your Operation

A precise Business Space Agreement reduces ambiguity about rent, responsibilities, and permitted uses, and it provides enforceable remedies for breach. Electronic execution is legally valid under the ESIGN Act (15 U.S.C. ch. 96) and UETA where adopted, while certain categories still require wet-ink, notarization, or witnesses.

Why a Clear Business Space Agreement Matters for Your Operation

Who Typically Prepares and Signs These Agreements

Landlords, property managers, commercial tenants, brokers, facility managers, and in-house counsel commonly prepare or review Business Space Agreements before occupancy.

  • Commercial landlords and property managers who control lease terms and property maintenance obligations.
  • Small and medium business tenants needing to define permitted uses, utilities, and improvement responsibilities.
  • Real estate brokers and attorneys who negotiate terms, review compliance, and document amendments.

The document is also used by contractors, service providers, and lenders who need clarity on access, improvements, or assignment rights.

Roles Authorized to Sign

Authorized Signatory

An officer or manager listed on corporate formation documents may sign for a business; a signed corporate resolution or power of attorney is often required to confirm signing authority and avoid future disputes.

Property Manager

A licensed property manager or leasing agent may execute agreements on behalf of an owner if properly authorized by a management agreement or written delegation of signing authority.

Essential Clauses to Include in a Business Space Agreement

A professional agreement balances specificity with flexibility: it should allocate costs, define permitted use, manage risk, and set clear procedures for defaults and termination without unnecessary legalese.

Premises Description

Describe the space precisely, including suite numbers, square footage, common areas, and any exclusive rights; attach a drawing or exhibit to avoid later boundary disputes.

Term and Renewal

State the lease start and end dates, renewal options, notice windows for exercising renewals, and any rent escalations tied to CPI or fixed increases.

Rent and Payment

Specify base rent, payment frequency, acceptable payment methods, late fees, security deposit terms, and the party responsible for utilities and common area maintenance (CAM) charges.

Use and Exclusivity

Define permitted business activities, hours of operation, signage rights, and any exclusivity or noncompete covenants limiting other tenants' uses.

Alterations and Improvements

Clarify landlord consent for tenant improvements, who pays, ownership of fixtures, and restoration obligations at lease end.

Insurance and Indemnity

Allocate insurance minimums, additional insured requirements, and indemnity scope to limit exposure and ensure proper risk transfer between parties.

Party Names: Full legal entity name
Business Addresses: Street, city, state, ZIP
Tax ID: EIN or SSN where applicable

Common Preparation and Execution Errors to Avoid

  • Failing to verify signer authority, which can render the agreement unenforceable or subject to later challenge.
  • Using imprecise premises descriptions that lead to disputes over included areas, parking, or storage spaces.
  • Neglecting to specify responsibility for HVAC, utilities, and common area maintenance, causing unexpected operating cost shifts.
  • Overlooking local zoning or permitted use restrictions that can prohibit the tenant’s intended business activities.

Consequences of Incorrect or Incomplete Agreements

Breach Liability: Monetary damages and specific performance risk
Tenant Displacement: Risk of eviction or lockout remedies
Tax Exposure: Incorrect reporting or withholding consequences
Insurance Gaps: Denied claims due to coverage lapses
Enforcement Difficulty: Ambiguous clauses weaken court remedies
Regulatory Fines: Local code or zoning penalties
