BUSINESS SPREADSHEET - GENERAL BUSINESS AGREEMENT

This General Business Agreement (the Agreement) is entered into as of (Agreement Date), by and between ("Client") and ("Service Provider").

WHEREAS, Client desires to retain Service Provider to provide professional services and deliverables as set forth in this Agreement; and

WHEREAS, Service Provider has the expertise, personnel and capacity to perform the services and deliverables described herein under the terms and conditions set forth below.

Scope of Work

Service Provider shall perform the services and produce the deliverables described in the Business Spreadsheet below and in the additional description field. The Scope of Work shall include all tasks, milestones, and acceptance criteria reasonably necessary for the satisfactory completion of the services.

Payment Terms

The total contract amount payable under this Agreement is USD, subject to the schedule and conditions below.

Late payments shall incur a late fee of per month and a minimum late charge of USD, calculated from the date payment was due until fully paid.

Term and Termination

The term of this Agreement shall commence on and shall continue in effect until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice to the other party no fewer than days prior to the effective date of termination. Termination for material breach shall be effective immediately upon written notice if the breach is not cured within 15 days of receipt of such notice.

Confidentiality

Each party shall hold in strict confidence all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information does not include information that is or becomes publicly known without breach of this Agreement, is rightfully received from a third party without restriction, or is independently developed by the receiving party without use of the disclosing party's Confidential Information.

The receiving party shall not disclose Confidential Information except to employees, contractors or advisors who need to know and who are bound by confidentiality obligations at least as protective as those set forth herein. The obligations of confidentiality shall survive termination of this Agreement for years.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in the chosen state for any disputes arising under this Agreement.

This Agreement, including all exhibits and the Business Spreadsheet incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether oral or written. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.
