BUSINESS SSAR DOCUMENT

RECITALS (WHEREAS)

WHEREAS, Client Name: (the "Client") engages the Service Provider to perform services described herein; and

WHEREAS, Service Provider: (the "Service Provider") represents that it has the expertise, personnel and resources to perform such services in accordance with the terms of this Business SSAR Document (the "Agreement").

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, "SSAR" means Service Statement and Acceptance Report, being the process for documenting services performed, deliverables submitted and Client acceptance or rejection. "Confidential Information" has the meaning set forth in Section 6.

Late Payment Fee: on overdue amounts, accruing monthly until paid. Client shall also reimburse Service Provider for reasonable collection costs and attorneys' fees incurred to collect overdue amounts.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate for material breach if such breach is not cured within days after receipt of written notice specifying the breach. Termination shall not relieve either party of obligations accrued prior to the effective date of termination, including payment for services performed.

5. SSAR PROCEDURE AND ACCEPTANCE

Upon completion of each deliverable, Service Provider shall submit an SSAR documenting work performed, date of completion, and any test results or acceptance criteria. Client shall accept or provide written rejection with specific deficiencies within days of SSAR receipt. If Client does not respond within that period, the deliverable shall be deemed accepted.

6. CONFIDENTIALITY

Definition: "Confidential Information" means non-public information disclosed by either party that is identified as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure, including business plans, pricing, technical data, SSAR contents, and client lists.

Obligations: Each party shall (a) use Confidential Information solely for performance under this Agreement, (b) restrict disclosure to employees, contractors and agents who need to know and who are bound by confidentiality obligations at least as protective as those herein, and (c) take reasonable measures to protect such Confidential Information from unauthorized disclosure.

Exceptions: Confidential Information does not include information that is (i) already known to the receiving party without restriction, (ii) becomes publicly available through no fault of the receiving party, (iii) lawfully received from a third party without breach, or (iv) independently developed without reference to the disclosing party's Confidential Information. A party may disclose Confidential Information to the extent required by law or court order, provided it gives prompt written notice to the disclosing party and cooperates to seek confidential treatment.

Duration: Confidentiality obligations shall survive termination or expiration of this Agreement for a period of years, except that trade secrets shall be protected for as long as they remain trade secrets under applicable law.

7. REPRESENTATIONS, WARRANTIES AND LIABILITY

Service Provider represents and warrants that it will perform services in a professional and workmanlike manner in accordance with industry standards. EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT, NEITHER PARTY MAKES ANY OTHER WARRANTY, EXPRESS OR IMPLIED. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES. THE AGGREGATE LIABILITY OF EITHER PARTY ARISING FROM OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID OR PAYABLE TO SERVICE PROVIDER UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

8. INDEPENDENT CONTRACTOR; TAXES

Service Provider is an independent contractor. Nothing in this Agreement creates an employment, partnership or agency relationship. Service Provider is solely responsible for all taxes, withholdings and other statutory obligations arising out of payments made under this Agreement.

9. NOTICES

All notices under this Agreement shall be in writing and deemed given when delivered personally, sent by nationally recognized overnight courier, or three (3) business days after deposit in the U.S. mail, postage prepaid, to the addresses above or such other address as a party designates in writing.

10. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located therein.

11. ENTIRE AGREEMENT; AMENDMENT

This Agreement, together with any SSAR submissions and exhibits expressly incorporated herein, constitutes the entire agreement between the parties regarding the subject matter and supersedes all prior agreements, understandings and negotiations, whether written or oral. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

12. MISCELLANEOUS

Severability: If any provision of this Agreement is held invalid or unenforceable, such provision shall be modified to the extent necessary to make it valid and enforceable, or if modification is not possible, severed, and the remaining provisions shall remain in full force and effect.

Assignment: Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that Service Provider may assign to an affiliated entity or in connection with a merger or sale of substantially all of its assets.
