What the Business Stability Agreement Is and when it's used

A Business Stability Agreement is a written contract between a company and one or more counterparties that defines commitments designed to preserve operational continuity, manage risk, and allocate responsibilities during a defined stability period. Typical provisions cover scope of covered activities, payment or funding commitments, performance covenants, notice and cure procedures, dispute resolution, and effective and termination dates. Parties use this agreement to lock in procedures and funding that reduce disruption from ownership changes, financing events, supplier interruptions, or planned transitions.

Why a Business Stability Agreement matters for organizational continuity

The agreement clarifies responsibilities, preserves essential services, and reduces ambiguity during transitions or disruptions. It helps protect cash flow, maintains vendor and customer confidence, and provides contract remedies that can be enforced if parties fail to meet stability obligations.
