BUSINESS STAMLER DOCUMENT

This Business Stamler Document (the "Agreement") is entered into as of Effective Date:

Parties

Recitals

WHEREAS, Client desires to engage Service Provider to perform professional business services and related deliverables as described in this Agreement; and

WHEREAS, Service Provider has represented that it possesses the necessary experience, qualifications and resources to deliver the services in a timely and professional manner; and

WHEREAS, the parties desire to set forth the terms and conditions under which Service Provider will provide the services and Client will compensate Service Provider.

Scope of Work

Service Provider shall provide the services, deliverables and responsibilities described below. The parties may amend the scope only by a written amendment signed by authorized representatives of both parties.

Payment Terms

Compensation: Client shall pay Service Provider the total fee of $ unless otherwise agreed in writing.

Invoicing and Due Date: Service Provider shall submit invoices in accordance with the payment schedule. Client shall pay each undisputed invoice within days of receipt.

Late Payment: Any undisputed amount not paid when due shall accrue interest at the rate of % per month (or the maximum permitted by law), together with reasonable costs of collection, including attorneys' fees.

Term and Termination

Term: This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated as provided herein.

Termination for Convenience: Either party may terminate this Agreement for convenience by providing written notice to the other party at least days prior to the intended termination date. Upon termination for convenience, Client shall pay Service Provider for all services performed and expenses reasonably incurred through the effective date of termination.

Termination for Cause: Either party may terminate immediately for material breach that remains uncured for a period of 15 days after written notice specifying the breach. Termination shall be without prejudice to any other rights or remedies available to the non-breaching party.

Confidentiality

Definition: "Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Obligation: The receiving party shall hold Confidential Information in confidence, shall not use it except to perform obligations under this Agreement, and shall not disclose it to any third party except to those employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those in this Agreement.

Exclusions: Confidential Information does not include information that (i) is or becomes publicly available without breach of this Agreement, (ii) is rightfully received from a third party without restriction, (iii) is independently developed without use of the other party's Confidential Information, or (iv) is required to be disclosed by law or valid legal process, provided the receiving party gives prompt notice and assists the disclosing party in seeking protective relief.

Duration: The confidentiality obligations set forth in this section shall survive termination of this Agreement for a period of three (3) years, except that trade secrets shall be protected for as long as they qualify as trade secrets under applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law rules. Exclusive venue for any dispute arising out of this Agreement shall be the state or federal courts located in that state.

Entire Agreement; Miscellaneous

Entire Agreement: This Agreement, including any attachments and written amendments signed by both parties, constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written, relating to the subject matter hereof.

Amendments: No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect, and the parties shall negotiate in good faith a replacement provision.

Assignment: Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that Service Provider may assign to an affiliate or in connection with a merger, acquisition or sale of substantially all of its assets, provided the assignee assumes the obligations hereunder.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses listed above or to such other address as either party may specify in writing. Notices shall be deemed given upon personal delivery, three days after deposit with a nationally recognized overnight courier, or five days after deposit in the U.S. mail, postage prepaid.
