What a Business Standings Report Is and why it matters

A Business Standings Report—sometimes issued as a certificate of good standing or certificate of existence—verifies that a business entity is properly registered and compliant with a state secretary of state. The report typically lists the legal entity name, formation date, jurisdiction, status (active, reinstated, forfeited), and whether required filings and fees are current. Private parties, banks, licensing authorities, and contracting counterparties commonly use the report when confirming authority to transact, opening accounts, or completing corporate due diligence across U.S. jurisdictions.

When the report is needed and the value it provides

A Business Standings Report provides third-party proof the entity exists and is authorized to transact, simplifying bank onboarding, licensing, financing, and M&A checks. It reduces friction by replacing ad hoc confirmations with a state-issued record used to verify compliance and ownership structure for administrative and legal processes.

When the report is needed and the value it provides

Who commonly requests or issues the report

Typical requestors include financial institutions, contracting counterparties, regulators, and internal corporate teams needing evidence of an entity's lawful status.

  • Business owners and managers who need to prove corporate status for banking or contracting.
  • Lenders, investors, and title companies performing underwriting or closing due diligence.
  • Government agencies and licensing boards requiring proof of registration and compliance.

The report serves both external verification needs and internal compliance checks; responsibility for ordering usually rests with the entity or an authorized agent.

Essential elements included in a professional Business Standings Report

A well-formed report presents standardized data fields and metadata that third parties expect; include clearly labeled entries and the issuing state's authentication elements for credibility.

Entity Name

Exact legal name as recorded with the state, including punctuation and suffixes; mismatches can delay transactions and require corrected filings.

Formation Date

Official formation or registration date reported by the state; this determines seniority and affects corporate history in due diligence reviews.

Entity Status

Active, good standing, revoked, or forfeited status as shown by the state; many counterparties require 'active' status for acceptance.

Jurisdiction

State of formation and any foreign qualification jurisdictions listed so reviewers understand which laws govern corporate existence.

Filing Currency

Statement that required annual reports, franchise taxes, or fees are current or notes outstanding delinquencies affecting compliance.

Issuing Authority

Name, seal, or authentication code from the issuing secretary of state plus issuance date and any verification number.

Required fields typically present on the report

Entity Name: Full legal name
Formation Date: MM/DD/YYYY or state format
Entity Type: LLC, Corporation, LP, etc.
Status: Active, Forfeited, Revoked
Issuing State: Name of state agency
Issue Date: Date of certificate issuance

Step-by-step: obtaining a Business Standings Report

Follow these sequential steps to order, confirm, and deliver a valid report from the issuing state authority or an authorized agent.

  • 01
Verify Entity Details: Confirm exact legal name and jurisdiction.
  • 02
Place Order: Submit request through state portal or authorized vendor.
  • 03
State Processing: State verifies records and issues certificate.
  • 04
Deliver Report: Provide certified copy to requesting party.

Typical online ordering workflow and settings

When using an online portal or service to request a report, configure fields and delivery options to meet your recipient's requirements.

Field Configuration
Legal Name Exact match required
Formation State Select state of record
Delivery Format Certified PDF or portal link
Authentication Include any verification code

Technical requirements for digital ordering and delivery

Online ordering and e-delivery typically use PDF, secure links, and authentication compatible with common enterprise systems.

  • File Formats: PDF, sometimes image
  • Integrations: CRM and document systems
  • Authentication: Email, SMS, or portal

Confirm recipient format and authentication expectations when placing the order to ensure the issued report is accepted by banks, regulators, or counterparties.

Timing: when to request and expected processing

Plan ahead for state processing windows, required currency of filings, and any expedited service fees when a transaction depends on a current report.

When to Request:

Request when counterparties require up-to-date status.

Processing Time:

State processing varies; expect variable turnaround.

Expedited Options:

Some states offer faster, fee-based processing.

Validity Window:

Recipients may require reports issued within specific days.

Update Triggers:

Major entity changes may require obtaining a new report.

Common risks and consequences of incorrect reports

Invalid Transactions: Delays or rejected deals
Funding Delays: Lender holds or lost closings
Regulatory Exposure: Noncompliance notices possible
Administrative Costs: Extra fees and reorders
Reputation Risk: Counterparty trust erosion
Legal Disputes: Potential contract challenges
