BUSINESS START LETTER

This Business Start Letter (the "Agreement") is entered into by the parties identified below effective as of (the "Effective Date").

WHEREAS

WHEREAS, Client desires to retain Service Provider to commence performance of the business services and activities described herein; and

WHEREAS, Service Provider represents that it has the necessary expertise, personnel and resources to perform the services on the terms set forth in this Agreement; and

WHEREAS, the parties wish to set forth the scope, compensation, term and other mutual obligations governing their relationship.

SCOPE OF WORK

Service Provider shall provide the services and deliverables described below. The services shall be performed in a professional manner consistent with industry standards.

PAYMENT TERMS

Client shall pay Service Provider for the services as set forth below. All amounts are payable in lawful currency of the United States unless otherwise agreed in writing.

TERM AND TERMINATION

The term of this Agreement begins on and will continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate immediately for material breach that remains uncured for a period of thirty (30) days following written notice of such breach.

CONFIDENTIALITY

"Confidential Information" means all non-public information disclosed by one party ("Disclosing Party") to the other ("Receiving Party") that is designated confidential or which reasonably should be understood to be confidential. Receiving Party shall: (a) maintain the confidentiality of Confidential Information with at least the same degree of care it uses to protect its own confidential information but in no event less than reasonable care; (b) use Confidential Information solely to perform its obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to those employees, contractors and affiliates who have a need to know and who are bound by confidentiality obligations at least as protective as those herein.

Confidential Information does not include information that: (i) is or becomes publicly known through no breach by Receiving Party; (ii) was rightfully known to Receiving Party prior to disclosure; (iii) is received from a third party without breach of an obligation of confidentiality; or (iv) is independently developed without use of the Disclosing Party's Confidential Information. The confidentiality obligations survive termination of this Agreement for a period of three (3) years, except that trade secrets shall be protected for so long as they remain trade secrets under applicable law.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties shall attempt in good faith to resolve any dispute arising out of or relating to this Agreement through negotiation between senior representatives. If negotiation fails, the parties may pursue any available legal or equitable remedies.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including all schedules and exhibits hereto, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior and contemporaneous agreements, proposals and understandings, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Neither party shall assign this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of its assets. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Headings are for convenience only and do not affect interpretation.
