BUSINESS START SLIP

WHEREAS, Business Provider: (the "Provider") has represented that it is prepared to commence the business activities described below; and

WHEREAS, Client Name: (the "Client") desires the Provider to begin such activities on the Effective Date specified herein and has authority to engage the Provider under the terms set forth below; and

WHEREAS, the parties wish to set forth in writing the essential terms governing commencement, scope, payment and confidentiality associated with the business start of the services described in this Business Start Slip.

The Provider shall commence the following business activities and deliverables for the Client. The described scope identifies the initial services and tasks to be performed; additional tasks not specifically listed shall require written amendment.

Payment Terms

The Client agrees to compensate the Provider as follows. Payment obligations arise pursuant to completed milestones or invoicing as set forth below.

Term and Termination

This Business Start Slip becomes effective on the Effective Date and continues for the Term specified below unless terminated earlier in accordance with this section.

If either party materially breaches this Business Start Slip and fails to cure the breach within the notice period specified above, the non-breaching party may terminate this Slip immediately upon written notice. Termination does not relieve the Client of payment obligations for services performed through the effective date of termination.

Confidentiality

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. "Confidential Information" means non-public, proprietary information disclosed in connection with the business start and services, including but not limited to financial data, business plans, customer lists, technical information and trade secrets.

The receiving party shall: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except as necessary to perform the obligations under this Slip and subject to written confidentiality obligation; and (c) use Confidential Information only to perform the scope of work. Confidentiality obligations shall survive termination for a period of years.

Governing Law

This Business Start Slip shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles. Any dispute arising out of or relating to this Slip shall be resolved in the courts located in the same state, and the parties submit to the exclusive jurisdiction of those courts.

Entire Agreement

This Business Start Slip, together with any exhibits or written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No modification, amendment or waiver shall be effective unless in a writing signed by both parties.
