What a Business Start-Up Checklist Covers

A Business Start-Up Checklist is a structured, step-oriented list of legal, tax, licensing, and administrative tasks required to launch a U.S. company. It typically includes entity selection, name reservation, state filings, Employer Identification Number (EIN) application, operating agreements or bylaws, business licenses, tax registrations, bank account setup, and essential compliance tasks. The checklist can be completed manually or electronically and is useful for founders, small-business operators, and advisors to ensure key filings and deadlines are tracked and fulfilled under applicable federal and state rules.

Why a Checklist Matters for New Businesses

A checklist reduces regulatory risk by capturing required steps and timelines, helps demonstrate intent and due diligence, and supports consistent recordkeeping. Using an electronic checklist with audit trails also aligns with ESIGN (15 U.S.C. §7001) and most states’ UETA frameworks for valid e-signatures.

Why a Checklist Matters for New Businesses

Who Typically Uses a Start-Up Checklist

Founders, small-business teams, accountants, and attorneys use checklists to coordinate filings and assign responsibilities before launch.

  • Founders and co‑founders managing entity formation, bank setup, and initial compliance tasks for a new company.
  • Accountants and bookkeepers handling EIN, tax registrations, payroll setup, and initial tax elections for the business.
  • Attorneys and formation services preparing formation documents, operating agreements, and state filings with organized signatures.

Checklists streamline collaboration and create an auditable task history for shareholders, lenders, or regulators.

Step-by-Step: Complete the Start-Up Checklist

Follow these core steps in order to form your business and meet initial compliance requirements efficiently.

  • 01
Choose Entity: Decide LLC, corporation, or sole proprietor based on liability and tax goals.
  • 02
Register Name: Reserve or register the business name with the state Secretary of State.
  • 03
File Formation: File Articles/Certificate of Formation with the state and pay the filing fee.
  • 04
Obtain EIN: Apply online with the IRS to get your EIN for banking and payroll.

How to Configure an Electronic Checklist Workflow

Configure fields, authentication, and storage to match your internal approvals and compliance needs when completing the checklist online.

Workflow Step Platform Setting
Document Upload Accept PDF and DOCX formats for filings and attachments
Authentication Email or SMS code; use stronger KBA for high-risk signers
Bulk Send Enable for mass distribution; may require upgraded plan
Storage Export signed records to Google Drive, Box, or internal S3

Distribution and Platform Integration Options

Choose channels and integrations that match your team’s tools and compliance posture.

  • Formats: PDF, DOCX, HTML, Excel supported
  • Integrations: Salesforce, NetSuite, Google Workspace, Box, Procore
  • Authentication: Email, SMS, SSO, advanced auth on higher plans

Where to File and How Signatures Move the Process

Identify filing destinations and the role of signatures in completing each filing step to shorten processing times.

  • Secretary of State: Submit formation filings and pay state fees electronically or by mail
  • IRS: Apply online for EIN and keep the confirmation for bank onboarding
  • Local Licenses: File city or county business licenses with municipal offices
  • E-Signature: Capture signer intent and audit trail to support filings and third-party verification

Key Filing Deadlines and Timing Expectations

Timelines vary by filing type and jurisdiction; track each deadline to avoid late fees or registration complications.

Entity Formation Timing:

State processing varies from same-day to several weeks depending on state and filing method

EIN Issuance:

IRS issues EIN immediately online in most cases

W-9 Provision:

Provide a completed W-9 when requested by a payer; no fixed federal due date

1099-NEC Deadline:

File recipient and IRS copies by January 31 each year

Individual Tax Return:

Form 1040 due April 15 (October 15 with extension)

Security and Compliance Features to Verify

In‑Transit Encryption: TLS 1.2/1.3
At‑Rest Encryption: AES-256 encryption
Regulatory Standards: SOC 2 Type II
Healthcare Compliance: HIPAA with BAA
Signature Law: ESIGN and UETA compliance
Accessibility: WCAG 2.0 Level AA

Common Penalties and Risks to Avoid

1099 Late Penalty: Up to $330 per form
Intentional Disregard: $660+ per form with no cap
I-9 Paperwork: $281–$2,789 per violation
Backup Withholding: 24% withholding rate
Formation Errors: Voidable filings and loss of liability protection
Missing Licenses: Fines and business closure risk

Frequent Preparation Mistakes

  • Mismatched names between formation documents, bank accounts, and tax registrations causing account or filing rejections.
  • Selecting the wrong entity type without tax or liability analysis, producing costly corrections later.
  • Failing to register for required local business licenses or sales tax accounts before transacting.
  • Not capturing signer intent or audit trails for agreements, complicating enforcement and verification.

Practical Tips for Accurate and Efficient Completion

Adopt quality-control steps and consistent naming and date formats to reduce rework and maintain an auditable record.

Standardize Names
Use the exact legal entity name across all filings, bank accounts, and tax forms to prevent mismatches and reissuance delays.
Use Consistent Dates
Enter dates as MM/DD/YYYY throughout the checklist and documents to avoid confusion in filings and tax reporting.
Preserve Audit Trails
Enable detailed audit logs for every signature and approval to support compliance and dispute resolution.
Centralize Storage
Store executed documents in a secure, access-controlled repository and maintain backups for retention compliance.
