What the Business Startup Checklist Is

A Business Startup Checklist is a structured list of legal, tax, administrative, and operational tasks required to form and launch a new business in the United States. It consolidates necessary steps such as choosing a business structure, registering the entity with the state, obtaining an Employer Identification Number (EIN), securing licenses and permits, setting up accounting and payroll, and arranging contracts and insurance. The checklist helps founders track deadlines, required documents, signatory roles, and filing fees so tasks are completed in the correct order and compliance obligations are not overlooked.

Why a Checklist Matters for New Businesses

A checklist reduces omission risk, shortens time-to-compliance, and centralizes required information for filings, licenses, and contracts. It provides clarity on who signs what, when filings are due, and which supporting documents to collect.

Why a Checklist Matters for New Businesses

Who Typically Uses a Business Startup Checklist

Founders, small business owners, attorneys, accountants, and administrative staff use the checklist to coordinate formation and compliance tasks efficiently.

  • Founders and co‑founders managing formation tasks and signatory responsibilities.
  • Attorneys and CPAs preparing formation documents, tax registrations, and compliance advice.
  • Administrative staff or virtual assistants executing filings, registrations, and recordkeeping duties.

The checklist also supports investors, incubators, and service providers who need a shared progress view during the company formation phase.

Step-by-Step: Complete Your Startup Checklist

Common Mistakes Found on Startup Checklists

  • Using a DBA or trade name when the state filing needs the legal entity name, causing bank account and contract mismatches.
  • Failing to confirm publication or local notice requirements, such as the New York LLC publication rule, which can invalidate formation if not completed.
  • Omitting registered agent physical address or using a P.O. box, which may lead to rejected service-of-process delivery or filing rejections.
  • Skipping designation of authorized signers, leading to delays when banks or vendors refuse the submitted signer credentials.

Typical Submission and Filing Flow

A predictable sequence helps you prepare documents, obtain signatures, and submit filings without rework.

  • Prepare packet: Gather formation documents and supporting attachments.
  • Assign signers: Identify who must sign and in what order.
  • Sign electronically: Use compliant eSignature with audit trail.
  • File with state: Submit formation and retain confirmation.
