This Business Startup Agreement ("Agreement") is entered into as of by and between Company Name: located at (the "Company"), and Service Provider Name: located at (the "Service Provider").

RECITALS

WHEREAS, the Company is seeking to establish and launch certain business operations, including but not limited to corporate formation, operational setup, branding, and initial market entry; and

WHEREAS, the Service Provider represents that it has the expertise, personnel and resources necessary to provide advisory, planning, and implementation services to assist with the Company's startup activities; and

WHEREAS, the parties desire to set forth the terms and conditions under which such services will be provided.

SCOPE OF WORK

The Service Provider shall perform the services described above in a professional and timely manner consistent with industry standards. Deliverables, acceptance criteria, and any milestone dates shall be set forth in writing and agreed by both parties in an attached schedule or amendment to this Agreement.

All payments shall be made in lawful currency of the United States unless otherwise agreed. The Company shall pay the Service Provider within the period specified above following receipt of a proper invoice. If the Company fails to pay any undisputed amount when due, the outstanding amount shall bear interest at the rate of % per month or the maximum allowed by law, whichever is lower. In addition, the Service Provider may charge a minimum late fee of for each late payment.

The Company will reimburse reasonable pre-approved out-of-pocket expenses incurred by the Service Provider in connection with the performance of services. Reimbursable expenses will be invoiced and supported by receipts. Reimbursable expenses are allowed.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate immediately for cause if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice.

CONFIDENTIALITY

Each party acknowledges that in connection with this Agreement it may receive confidential or proprietary information of the other party ("Confidential Information"). Except as required by law, each party shall (i) hold Confidential Information in strict confidence, (ii) not disclose Confidential Information to third parties without prior written consent, and (iii) use Confidential Information solely to perform its obligations under this Agreement. Confidentiality obligations shall continue for years following termination or expiration of this Agreement.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, the Company shall own all intellectual property created specifically for the Company pursuant to this Agreement upon full payment of amounts due. The Service Provider hereby assigns to the Company all right, title and interest in such deliverables. The Service Provider retains ownership of its pre-existing tools, templates and methodologies and grants the Company a perpetual, non-exclusive license to use any such materials included in the deliverables to the extent necessary for the Company's internal business purposes.

INDEPENDENT CONTRACTOR; ASSIGNMENT

The Service Provider is an independent contractor and nothing in this Agreement creates an employment, agency or partnership relationship. Neither party may assign this Agreement without the prior written consent of the other party except that either party may assign to an affiliate or successor in connection with a sale of substantially all its assets.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. Venue for any dispute arising out of or relating to this Agreement shall be in the state or federal courts located in that state.

ENTIRE AGREEMENT

This Agreement, together with any appendices, schedules and written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, proposals, representations and agreements, whether written or oral. No modification of this Agreement shall be effective unless in a writing signed by duly authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The failure of either party to enforce any right shall not constitute a waiver of that right. Notices under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party designates in writing.
