WHEREAS, the Client named above seeks professional business advice tailored to the Client's commercial objectives and operational circumstances; and

WHEREAS, the Advisor, a business consultant or adviser with experience in business strategy, financial planning, and implementation services, has agreed to provide advice to the Client on the terms set out in this Statement of Advice; and

WHEREAS, the parties intend that this Statement of Advice record the scope, recommendations, fees, risks, and responsibilities associated with the Advisor's recommendations and the Client's informed consent to proceed.

Scope of Advice

The Advisor will provide advice limited to the matters expressly set out in this Scope. The Advisor does not provide legal or tax advice unless explicitly stated and where such advice is required the Client is advised to obtain independent legal or tax advice.

The Client acknowledges that implementation of advice involves risks including but not limited to financial loss, market fluctuations, and operational risk. The Client should consider these risks when deciding whether to implement any recommendation and may obtain independent advice where desired.

Governing Law

This Statement of Advice is governed by and must be construed in accordance with the laws of the jurisdiction specified below. The parties submit to the exclusive jurisdiction of the courts of that jurisdiction.

Entire Agreement

This Statement of Advice, together with any annexures, schedules, or written variations agreed by the parties, constitutes the entire agreement between the parties in relation to the subject matter and supersedes all prior negotiations, representations, or agreements whether written or oral.
