What a Business Statement of Intent Is and When It’s Used

A Business Statement of Intent is a short, written document that records a party’s present intention to take a specific business action or enter a commercial arrangement. Commonly used for proposed joint ventures, preliminary investment commitments, letters of intent for purchases, or to declare intent to form an entity, it sets out parties, purpose, and basic terms without creating a full binding contract unless the text says otherwise. In the United States, electronic execution is generally valid under ESIGN and UETA when the four-prong validity test (intent, consent, attribution, retention) is satisfied.

Why a Clear Statement of Intent Matters

A concise statement clarifies expectations, documents negotiating positions, and creates a date-stamped record useful for commercial planning, due diligence, and internal approvals. It can reduce misunderstandings and provide evidence of intent while reserving full contract formation for later.

Why a Clear Statement of Intent Matters

Essential Elements to Include in a Professional Statement

Include specific, unambiguous content so recipients and advisers can evaluate next steps quickly and consistently.

Parties

Identify each legal entity and role clearly, including business legal name and relationship to the transaction.

Purpose

Describe the intended transaction or action in plain terms, with scope and key objectives to avoid ambiguity.

Effective Date

State the date the intent becomes operative; this anchors schedules, deadlines, and statute of limitations considerations.

Key Terms

Summarize price ranges, timelines, exclusivity limits, confidentiality obligations, and any conditions precedent.

Legal Effect

Declare whether the document is binding, partially binding, or non-binding and reference governing law for clarity.

Signatures

Provide an executed signature block for authorized signers, noting authority and date of signature.

Step-by-Step: Filling Out the Statement of Intent

Follow these steps to prepare a clear, reliable statement that supports negotiation and recordkeeping.

  • 01
Draft the purpose: Write a concise description of the intended action or transaction.
  • 02
Capture parties: Add each party’s full legal name and contact details.

Who Typically Prepares or Signs This Document

Several business roles commonly prepare or sign a statement of intent depending on context and transaction value.

  • Small business owners initiating a sale or partnership
  • Procurement or contract managers negotiating terms
  • In-house counsel or outside attorneys reviewing legal effect

Use the appropriate signer based on authority; if in doubt, attach a corporate resolution or power of attorney to confirm signature authority.

Digital Signing and Submission: Platform Considerations

Many parties e-sign and electronically store statements of intent; platforms must meet authentication, format, and retention needs.

  • File Formats: PDF, DOCX supported
  • Authentication: Email, SMS, or stronger MFA
  • Integrations: CRM and cloud-storage links

Choose a platform that provides tamper-evident audit trails, supports required authentication strength, and can export signed records for long-term retention and compliance.

Configuring an Online Workflow for a Statement of Intent

Set up fields, signer order, and retention rules to streamline execution and auditability.

Field Configuration
Signature Field Assigned to authorized signer
Authentication Email or SMS code
Notifications Reminders and expiration alerts
Retention Export policy and storage term

Where to Send or File the Completed Statement

After execution, distribute copies to interested parties and retain a signed record in your document management system.

  • Counterparties: Provide fully executed copies to all parties
  • Internal Records: File with legal or contracts team
  • External Advisors: Share with counsel or accountants
  • Regulatory Filing: File only if required by agency

Typical Timing and Deadlines to Include

Include clear dates for response, exclusivity, and next steps so counterparties understand timing expectations.

Effective Date:

When the statement takes effect (MM/DD/YYYY)

Response Deadline:

Date by which counterparty must accept or respond

Exclusivity Period:

If applicable, state duration of exclusivity

Due Diligence Window:

Specify number of days for inspections or reviews

Termination Date:

When the intent expires if no contract follows

Common Mistakes to Avoid When Preparing This Document

  • Leaving vague monetary or timing terms that cause later disputes and start-stop negotiations.
  • Using an unauthorized signer’s name, which can invalidate execution or delay enforceability checks.
  • Failing to state whether the document is binding or non-binding, causing confusion over obligations.
  • Omitting a clear effective date, which complicates deadlines, notice periods, and statute of limitations calculations.

Potential Legal and Financial Risks from Errors

Contractual Misstep: Unclear binding intent
Tax Consequences: Incorrect TIN information
Regulatory Exposure: Missing disclosures
Notary Noncompliance: Improper notarization
Evidence Gaps: No audit trail
Reputational Risk: Public disputes

Practical Examples of How Businesses Use a Statement of Intent

Two concise scenarios show common, practical uses and what each party should document.

Startup Investment

A founder outlines investor interest and proposed terms in writing.

  • The investor indicates conditional support pending due diligence.
  • The statement records timelines and confidentiality commitments, creating a dated record that guides term-sheet preparation and limits misunderstandings during negotiations.

Property Lease Negotiation

A landlord and tenant set out lease key points before drafting a full lease.

  • Both parties confirm basic rent and term parameters.
  • The statement helps coordinate inspections, budget approvals, and counsel review while signaling mutual intent without forming a complete lease agreement.

Practical Tips for Accurate and Efficient Completion

Follow these practices to reduce risk and accelerate agreement momentum.

Use Plain Language
Write short, specific sentences that define obligations, timelines, and conditions to prevent differing interpretations.
Confirm Signatory Authority
Attach a corporate resolution or power of attorney when corporate signing authority is not self-evident.
Preserve an Audit Trail
Capture timestamps, IP, and method of signer authentication to support attribution and record reproduction.
State Legal Effect
Explicitly state whether provisions are binding and name the governing law for dispute resolution clarity.
