WHEREAS, Client desires to procure certain business services and deliverables in furtherance of Client's strategic objectives described herein, and Service Provider possesses the capabilities, personnel and resources to provide such services and deliverables in accordance with this Statement.

Either party may terminate this Statement without cause upon days' prior written notice to the other party. Termination for material breach shall be effective upon written notice if the breaching party fails to cure the breach within days after receipt of written notice describing the breach.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other that, at the time of disclosure, is designated confidential or should reasonably be understood to be confidential. Each receiving party shall: (a) use Confidential Information solely to perform its obligations under this Statement; (b) restrict disclosure to those employees, contractors or advisors with a need to know and who are bound by written confidentiality obligations no less protective than those herein; and (c) exercise at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than a reasonable degree of care. Confidentiality obligations shall survive termination for a period of years, provided that trade secrets shall be protected for as long as they qualify as trade secrets.

REPORTING, ACCEPTANCE, AND PERFORMANCE STANDARDS

LIABILITY, INDEMNITY, AND INSURANCE

Each party shall be responsible for its own acts and omissions. Service Provider shall indemnify and hold harmless Client from third party claims arising from Service Provider's negligence or willful misconduct in performing the Scope of Work. Neither party's aggregate liability for direct damages shall exceed the total fees paid under this Statement in the twelve (12) months preceding the claim. In no event shall either party be liable for incidental, consequential, special or punitive damages.

GOVERNING LAW

This Statement shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to its conflicts of law principles.

ENTIRE AGREEMENT; AMENDMENT

This Statement, together with any attached exhibits or mutually executed statements of work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written communications and proposals. No amendment or waiver shall be effective unless in a writing signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

If any provision of this Statement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties are independent contractors and nothing in this Statement shall create a partnership, joint venture, or agency relationship unless expressly stated. Notices under this Statement shall be in writing and delivered to the addresses set forth below or as otherwise notified in writing by the parties.
