Recitals

WHEREAS, the Service Provider is engaged in the business of providing professional services and has represented that it possesses the experience, staff, and resources necessary to perform the services described in this Statement of Service; and

WHEREAS, the Client desires to retain the Service Provider to perform such services on the terms and conditions set forth in this Statement of Service; and

WHEREAS, the parties wish to record the scope, payment terms, term, confidentiality obligations and other material terms governing the relationship.

Confidentiality

Each party shall treat as confidential all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information shall not include information that (a) is or becomes publicly known through no unlawful act of the receiving party, (b) is rightfully received from a third party without restriction, or (c) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

The receiving party shall use Confidential Information solely for the purposes of performing under this Statement of Service and shall not disclose such information to any third party except to its employees, agents, or contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein. Upon termination or expiration of this Statement of Service, the receiving party shall return or destroy, at the disclosing party's option, all Confidential Information and certify such return or destruction in writing within thirty (30) days.

Governing Law

This Statement of Service shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located within that State for any action arising out of or relating to this Statement of Service.

Entire Agreement

This Statement of Service, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations, warranties, and communications, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.
