BUSINESS STATIONARY TEMPLATE AGREEMENT

This Business Stationary Template Agreement (the Agreement) is entered into as of Effective Date: by and between Client Name: and Service Provider: .

WHEREAS

WHEREAS, Service Provider is engaged in the business of designing, preparing, and delivering business stationery and associated brand assets, and possesses the professional skill and ability to provide such services to Client; and

WHEREAS, Client desires to retain Service Provider to prepare a business stationery template package consisting of letterhead, business card, envelope, and related electronic assets, subject to the terms and conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows.

PAYMENT TERMS

Payments are due as set forth above. Late payments shall accrue the late payment fee specified and Service Provider may suspend work until outstanding amounts are paid in full. All amounts are stated in the currency specified by the parties and are exclusive of taxes.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured for the notice period specified above. Termination by Client for convenience prior to completion may require payment for work performed and non-recoverable expenses incurred by Service Provider.

CONFIDENTIALITY

Each party acknowledges that during performance of this Agreement it may receive confidential information of the other party ("Confidential Information"). Confidential Information shall not include information that is (a) publicly known through no breach by the receiving party, (b) rightfully received from a third party without restriction, or (c) independently developed without use of the disclosing party's Confidential Information.

The receiving party shall: (i) hold Confidential Information in strict confidence; (ii) use Confidential Information solely to perform obligations under this Agreement; and (iii) disclose Confidential Information only to employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations at least as restrictive as those herein. This obligation of confidentiality shall survive termination for years.

INTELLECTUAL PROPERTY; LICENSES

Upon full payment of all fees due under this Agreement, Service Provider grants Client a non-exclusive, worldwide license to use the final delivered stationery templates and related files for Client's business purposes. Service Provider retains the right to use non-confidential project samples for portfolio and promotional purposes unless Client checks the box below to restrict such use.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to choice of law principles. The parties agree that disputes will be resolved in the courts of that jurisdiction unless the parties mutually agree to mediation or arbitration.

WARRANTIES; LIMITATION OF LIABILITY

Service Provider warrants that delivered materials will materially conform to the agreed specifications. EXCEPT AS EXPRESSLY PROVIDED HEREIN, ALL SERVICES ARE PROVIDED "AS IS" AND SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SERVICE PROVIDER'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE FEES ACTUALLY PAID BY CLIENT UNDER THIS AGREEMENT.

ENTIRE AGREEMENT

This Agreement, together with any attachments and written change orders executed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, or representations, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.
