WHEREAS, Party A provides business services, products, or consulting as described herein and possesses the personnel, expertise, and resources to perform the obligations set forth in this Agreement; and

WHEREAS, Party B desires to retain Party A to perform specified services and Party A agrees to provide those services subject to the terms and conditions contained in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and promises herein contained, the parties agree as follows.

Scope of Work

Party A shall provide the services and deliverables described below. Party A will perform services in a professional manner consistent with industry standards. Changes to the scope must be agreed in writing by authorized representatives of both parties.

Payment Terms

In consideration for the services performed by Party A, Party B shall pay the amounts and according to the schedule set forth below. Unless expressly stated, all amounts are payable in lawful currency of the jurisdiction specified in Governing Law.

Late Payment: If any undisputed amount is not paid when due, interest shall accrue at the lesser of 1.5% per month or the maximum rate permitted by law, plus any collection costs and reasonable attorneys' fees incurred by the non-breaching party.

Term and Termination

This Agreement shall commence on the Start Date and shall continue until the End Date or until earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon giving written notice to the other party in accordance with the notice period below. Either party may terminate for material breach if the breaching party fails to cure such breach within the cure period following written notice.

Confidentiality

Each party (the "Receiving Party") shall hold in confidence and not disclose Confidential Information of the other party (the "Disclosing Party") except as required to perform its obligations under this Agreement. Confidential Information includes non-public business, financial, technical, and operational information disclosed in any form. The Receiving Party shall use at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but no less than reasonable care.

Exceptions: Confidential Information does not include information that (a) is or becomes generally available to the public other than through a breach of this Agreement; (b) is received from a third party having the right to disclose it; (c) is independently developed without use of the Disclosing Party's Confidential Information; or (d) is required to be disclosed by law, provided the Receiving Party gives prompt notice to the Disclosing Party to allow for protective measures.

Liability and Indemnification

Each party shall indemnify and hold harmless the other party from third-party claims arising out of the indemnifying party's gross negligence or willful misconduct in performing its obligations under this Agreement. Except for claims arising from gross negligence, willful misconduct, or a party's breach of confidentiality or infringement obligations, neither party's aggregate liability for claims arising under this Agreement shall exceed the total amounts paid or payable to Party A under this Agreement during the twelve (12) months preceding the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties consent to exclusive jurisdiction and venue in the state and federal courts located in that state for any disputes arising out of this Agreement.

Entire Agreement

This Agreement (including any exhibits or attachments executed by the parties) constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings, and communications between the parties, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Miscellaneous

Notices: All notices under this Agreement shall be given in writing and delivered to the addresses set forth above or such other address as a party may designate in writing. Severability: If any provision is held invalid, the remainder shall remain in full force and effect. Assignment: Neither party may assign this Agreement without the other party's prior written consent, except to an acquirer of substantially all assets or stock.
