RECITALS

NOW, THEREFORE, in consideration of the mutual promises contained herein and for other good and valuable consideration, the parties agree as follows.

CONFIDENTIALITY

Each party acknowledges that during performance of this Agreement it may receive confidential or proprietary information. Each party agrees to hold confidential and not disclose such information except as required to perform this Agreement or as required by law. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party or that was independently developed without use of confidential information.

INTELLECTUAL PROPERTY & WARRANTIES

Client warrants that it owns or has license to use all artwork and content provided to Service Provider and that use of such materials will not infringe third-party rights. Client shall indemnify and hold Service Provider harmless for claims arising from Client-provided materials.

Ownership of final printed materials and underlying intellectual property shall transfer to Client upon full payment of all amounts due, except that Service Provider retains a limited, non-exclusive right to use produced images for portfolio and marketing purposes unless Client expressly declines below.

LIMITATION OF LIABILITY & INDEMNITY

Except for willful misconduct or gross negligence, neither party shall be liable to the other for special, incidental, consequential, or punitive damages. The parties' aggregate liability under this Agreement shall not exceed the total fees paid by Client to Service Provider under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement, including all attachments and specifications incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any modification or waiver must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Notices required under this Agreement shall be in writing and delivered to the addresses provided by the parties below.
