BUSINESS STICKERS PRODUCTION AGREEMENT

RECITALS

WHEREAS, Supplier is engaged in the business of producing printed materials and custom adhesive stickers, including but not limited to design proofing, die-cutting, and finishing; and

WHEREAS, Client desires to retain Supplier to produce business stickers in accordance with the specifications and schedule set forth in this Agreement, and Supplier is willing to perform such services on the terms and conditions contained herein; and

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

PAYMENT TERMS

CONFIDENTIALITY

Neither party shall disclose Confidential Information to any third party except as required by law or necessary to perform its obligations under this Agreement, and each party shall use at least the same degree of care in protecting Confidential Information as it uses to protect its own confidential information, but in no event less than a reasonable degree of care.

LIMITATION OF LIABILITY

Except for liability arising from willful misconduct or gross negligence, each party's aggregate liability for any claim arising from this Agreement shall not exceed the total amount paid or payable by Client to Supplier under this Agreement for the specific order giving rise to the claim.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, negotiations, and communications, whether written or oral. MISCELLANEOUS
