BUSINESS STORAGE SOLUTIONS AGREEMENT

Parties

This Business Storage Solutions Agreement ("Agreement") is entered into as of , by and between:

Recitals

WHEREAS, Client requires secure storage, handling and retrieval services for business property, inventory, records and related materials (collectively, "Stored Property"); and

WHEREAS, Service Provider operates storage facilities and offers storage management, secure warehousing, inventory control and related logistics services and is willing to provide such services to Client pursuant to the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective obligations, payment terms, confidentiality obligations and related provisions in writing.

Scope of Work

Service Provider will provide storage and related services at the storage location identified below and perform handling, inventory control, condition reporting, periodic inspection, retrieval and delivery services as requested and agreed in writing. Service Provider's obligations shall include appropriate security measures, climate control (if specified), and documentation of Stored Property received and released.

Payment Terms

Client shall pay Service Provider for storage services and related charges as set forth below. All charges are due in accordance with this section and any failure to timely pay shall constitute a material breach.

Any undisputed amount not paid within days of invoice due date shall incur a late fee of % of the overdue amount, plus interest at a rate of % per month, compounded monthly, or the maximum rate permitted by law, whichever is lower.

Term and Termination

This Agreement commences on the Start Date and will continue until the End Date unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within the notice period specified above following written notice. Service Provider may suspend access to Stored Property for Client's failure to pay undisputed charges, provided Service Provider follows any statutory lien notice procedures applicable to stored goods.

Confidentiality

Each party shall maintain in confidence and shall not disclose to any third party Confidential Information received from the other party except (i) with the disclosing party's prior written consent, (ii) to employees, agents or subcontractors having a need to know for performance of this Agreement and who are bound by confidentiality obligations no less protective than those set forth here, or (iii) as required by law or regulation. "Confidential Information" means non-public business information, customer data, pricing, inventory specifics, security protocols and other proprietary information disclosed in connection with this Agreement, but does not include information that is or becomes publicly available without breach of this Agreement or was independently developed or rightfully in possession without restriction prior to disclosure.

Upon termination or expiration of this Agreement, each party shall return or destroy Confidential Information of the other party and certify in writing that it has complied with this obligation, except to the extent retention is required by applicable law or reasonable archival backup systems.

Insurance and Risk Allocation

Client shall maintain insurance for the Stored Property against loss or damage in an amount adequate to cover the replacement value. Service Provider shall maintain commercial general liability insurance and property-casualty coverage for its facilities. Neither party shall be liable for loss or damage caused by events beyond its reasonable control, including natural disasters, acts of government, or third-party theft, except to the extent caused by gross negligence or willful misconduct.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles. Venue for any dispute shall be in the state or federal courts located in that State.

Entire Agreement; Amendment

This Agreement, together with any statements of work or appendices expressly incorporated in writing, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

Indemnification

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising from the indemnifying party's negligence, willful misconduct or breach of this Agreement, except to the extent such claims result from the indemnified party's negligence or willful misconduct.

Notices

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth above or to such other address as a party designates by notice in accordance with this section.
