Recitals

WHEREAS, the Client is engaged in the operation or promotion of a business and seeks professionally developed business stories to support marketing, investor relations, internal communications, or public relations; and

WHEREAS, the Provider represents that it has the experience, personnel, and authority necessary to prepare, write, edit, and deliver business stories that reflect the Client’s position, achievements, and brand voice in accordance with the terms set forth in this Agreement; and

WHEREAS, the parties desire to set forth the terms and conditions under which the Provider will prepare and deliver business stories to the Client.

Any overdue amount shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. Late payments shall also be subject to a late fee of .

Either party may terminate this Agreement for convenience upon written notice to the other party given at least days prior to the effective termination date. Termination for material breach may be immediate if the breaching party does not cure the breach within thirty (30) days following written notice.

Confidentiality

The parties acknowledge that in the course of performing this Agreement each may receive or have access to Confidential Information. "Confidential Information" shall mean non-public business, financial, technical, marketing, customer, and other proprietary information disclosed in any form. The recipient shall: (a) maintain the confidentiality of such information using at least the same degree of care it uses to protect its own confidential information but no less than reasonable care; (b) not use Confidential Information except as necessary to perform this Agreement; and (c) not disclose Confidential Information to any third party except to employees, contractors, or advisors who have a need to know and are bound by confidentiality obligations no less protective than those herein. Confidentiality obligations shall survive termination for a period of three (3) years, except that trade secrets shall remain confidential for as long as they retain trade secret status under applicable law. Exceptions include information that is publicly available through no fault of the recipient, already in the recipient’s possession at the time of disclosure, or required to be disclosed by law, provided the recipient provides prompt notice and cooperates to seek protective measures.

Ownership and Use

Subject to full payment of all fees due, the Provider assigns to the Client all right, title, and interest in the final delivered business stories, including copyrights, except that the Provider retains the right to use non-confidential portions of the work for portfolio and marketing purposes. Any third-party materials or pre-existing intellectual property embedded in deliverables shall be licensed to the Client only to the extent permitted by third-party terms; the Provider will disclose such restrictions in advance.

Indemnification and Liability

Each party shall indemnify and hold harmless the other from and against losses arising from the indemnifying party’s breach of this Agreement, negligence, or willful misconduct. Except for indemnification for third-party claims arising from infringement or breach of confidentiality, neither party shall be liable for indirect, incidental, consequential, or punitive damages. The Provider’s aggregate liability for direct damages arising under this Agreement shall not exceed the total fees paid by the Client to the Provider under this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of , without regard to its conflict of laws rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in the selected state for any dispute arising out of or relating to this Agreement.

Entire Agreement

This Agreement, including any attachments or written statements of work executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior oral and written agreements and understandings. Any amendment must be in writing and signed by authorized representatives of both parties.
