Recitals

WHEREAS, Party A desires to engage Party B to provide business strategy and planning services in furtherance of Party A's organizational objectives; and

WHEREAS, Party B represents that it has the experience, personnel, and capabilities to provide the strategic advisory services described in this Agreement; and

WHEREAS, the parties wish to establish the terms governing Party B’s performance, compensation, confidentiality, and the relationship between the parties as set forth below.

Confidentiality

The parties acknowledge that, in the course of performing this Agreement, each may disclose Confidential Information. "Confidential Information" means non-public information that a reasonable person would understand to be confidential under the circumstances.

Each recipient shall: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except as required to perform its obligations under this Agreement; and (c) use Confidential Information solely to perform its obligations hereunder. Confidentiality obligations survive termination for  or as required by applicable law.

Governing Law

This Agreement will be governed by and construed in accordance with the laws of the State of  without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located within that State for disputes arising under this Agreement.

Entire Agreement; Miscellaneous
