CONFIDENTIALITY

The parties acknowledge that, in connection with the performance of this Agreement, each may receive Confidential Information. Confidential Information means non-public information disclosed by a party that is designated as confidential or which a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

Each party shall: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except as expressly permitted by this Agreement; and (c) use Confidential Information solely to perform its obligations under this Agreement. The obligations set forth in this paragraph shall survive termination for a period of years.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to conflict of law principles.

ENTIRE AGREEMENT
