BUSINESS STRATEGIC TOOL AGREEMENT

This Business Strategic Tool Agreement ("Agreement") is entered into as of Effective Date: by and between:

Recitals

WHEREAS, Service Provider, a business specializing in strategic planning tools and advisory services, has developed an analytical and implementation framework known as the Business Strategic Tool (the "Tool") and possesses the expertise, personnel, and systems necessary to adapt and deliver the Tool to Client; and

WHEREAS, Client desires to engage Service Provider to deploy, configure, and deliver strategic outputs using the Tool and to receive related advisory services, and Service Provider desires to provide such services on the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

Scope of Work

Service Provider shall perform the professional services described below and shall deliver the specified outputs in accordance with the schedule agreed by the parties. The general scope includes tool configuration, strategic analysis, stakeholder workshops, documented recommendations, and implementation roadmaps.

Payment Terms

Client shall pay Provider the fees and expenses for services as follows. Unless otherwise specified, all amounts are payable in United States Dollars and are exclusive of applicable taxes.

Invoices shall be issued by Provider in accordance with the payment schedule. Client shall remit payment within days of receipt of invoice.

Late payments shall accrue interest at a rate of % per month (or the maximum permitted by law, if lower) on any overdue balance, calculated from the invoice due date until paid in full.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon providing written notice to the other party at least days prior to the intended termination date.

Upon termination, Client shall pay Provider for all services performed and reimbursable expenses incurred through the effective date of termination, and Provider shall deliver any deliverables reasonably completed as of such date.

Confidentiality

For purposes of this Agreement, "Confidential Information" means nonpublic information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given its nature. Each party shall: (a) use Confidential Information solely to perform its obligations under this Agreement; (b) restrict disclosure to employees and contractors on a need-to-know basis who are bound by confidentiality obligations at least as protective as those herein; and (c) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, and in no event less than reasonable care.

The confidentiality obligations set forth herein shall continue for a period of years following the termination or expiration of this Agreement, except with respect to Confidential Information that qualifies as a trade secret under applicable law, which shall be protected for so long as it retains trade secret status.

Intellectual Property and Tool Use

Provider retains all right, title and interest in and to the Tool, methodologies, templates, and any Provider pre-existing intellectual property. Subject to full payment of fees due, Provider grants Client a nonexclusive, nontransferable, limited license to use deliverables and materials furnished under this Agreement solely for Client's internal business purposes. Client shall not reverse engineer, copy, or create derivative works of the Tool.

Limitation of Liability

Except for breaches of confidentiality or indemnification obligations and to the extent not prohibited by law, neither party shall be liable for indirect, incidental, consequential, special, or punitive damages arising out of or relating to this Agreement. Provider's aggregate liability for direct damages under or relating to this Agreement shall not exceed the total fees paid by Client to Provider under this Agreement during the twelve (12) months preceding the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for resolution of disputes.

Entire Agreement; Amendment

This Agreement, including all schedules and exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Miscellaneous Provisions

Relationship of the parties: Provider is an independent contractor and nothing in this Agreement shall be construed to create a partnership, joint venture, or employment relationship. Neither party may assign this Agreement without the prior written consent of the other, except that Provider may assign to an affiliate or in connection with a sale of substantially all of its assets.
