What the Business Strategy IMA Is and When It’s Used

The Business Strategy IMA is an intercompany management agreement template used to document strategic responsibilities, performance metrics, cost allocations, and reporting obligations between related business units or affiliated entities. It sets governance for shared services, outlines deliverables and billing rules, and creates an auditable record of agreed stewardship for corporate strategy work. Organizations use the IMA to align incentives, reduce disputes, and create a contract-ready summary that can be referenced by accounting, legal, and finance teams during budgeting, audits, and intercompany reconciliations.

Why a Structured Business Strategy IMA Matters

A clear IMA reduces ambiguity about responsibilities, supports compliant cost allocation, and documents governance needed for audits and transfer-pricing reviews under U.S. tax guidance.

Why a Structured Business Strategy IMA Matters

Who Typically Prepares and Signs a Business Strategy IMA

Document ownership usually stays with finance or legal, but multiple functions must review to ensure operational clarity and tax compliance.

  • Finance controllers and intercompany accounting teams responsible for cost allocation and reconciliation.
  • General counsel or corporate legal teams who review contractual language and compliance clauses.
  • Business unit leaders who accept deliverables, KPIs, and performance measurement terms.

Stepwise Completion Workflow for the IMA

Complete the IMA in a structured order to avoid rework and to ensure reviewer clarity.

  • 01
Draft Scope: List services, deliverables, and KPIs to avoid ambiguous expectations.
  • 02
Define Costs: Document rates, calculation method, and invoicing cadence.
  • 03
Legal Review: Confirm governing law, indemnities, and audit rights.
  • 04
Sign and Record: Execute by authorized signers and store in records management system.

Typical End-to-End Processing Flow

A predictable flow reduces signing delays and provides a clear audit trail for intercompany charges.

  • Prepare Document: Draft with finance and operations input, attach exhibits and pricing schedules.
  • Internal Approval: Obtain approvals from budget owner, controller, and legal sign-off.
  • Execution: Authorized signers sign and date the agreement.
  • Distribution: Store final PDF in corporate repository and send executed copies to stakeholders.

Digital Workflow Settings to Use When Sending the IMA

Configure routing and authentication to match your corporate risk profile and audit needs.

Field Configuration
Signer Order Sequential routing: legal → finance → executive
Authentication Email plus optional SMS code for higher-risk transactions
Document Retention Set read-only storage and export of audit trail with PDF
Notifications Automatic reminders at 3, 7, and 14 days for pending signers

Technical Considerations for Electronic Completion

Ensure the selected platform meets your organization's compliance requirements and retention policies before executing agreements.

  • Format Support: PDF and DOCX
  • Authentication: Email, SMS, or advanced options
  • Integrations: Connect to ERP or document repository

Common Preparation Errors to Avoid

  • Vague scope descriptions that leave deliverables open to interpretation and dispute.
  • Omitting effective dates or using conflicting dates across exhibits and signature blocks.
  • Unclear cost allocation formulas that trigger audit adjustments or tax reclassifications.
  • Missing authorized signer names or signatures that delay enforceability and invoicing.

Legal and Financial Risks of an Incorrect IMA

Tax Adjustments: Overstated or unsupported allocations can prompt IRS transfer-pricing or deduction adjustments
Withholding Exposure: Incorrect contractor classification may trigger withholding and payroll liabilities
Contract Disputes: Ambiguous obligations increase litigation and settlement costs
Regulatory Noncompliance: Failure to retain records can violate SEC, IRS, or industry rules
Audit Findings: Insufficient documentation may cause qualified audit opinions or restatements
Operational Disruption: Conflicting expectations between units can delay project delivery
