THIS BUSINESS STRATEGY AGREEMENT (the Agreement) is made effective as of between Client Name: ("Client") and Provider Name: ("Consultant").

WHEREAS

WHEREAS, Client seeks to define and implement a commercial business strategy to improve market position, revenue generation, and operational alignment; and

WHEREAS, Consultant possesses expertise in strategy development, market analysis, and implementation planning and is willing to provide services to Client on the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows:

Scope of Work

Payment Terms

Invoices are due within days of invoice date. Late payments shall incur a late fee of per month on any unpaid balance, or the maximum permitted by applicable law, whichever is less. Client shall also be responsible for reasonable collection costs and attorneys' fees for overdue amounts.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for any reason upon written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days following receipt of written notice describing the breach.

Confidentiality

For the purposes of this Agreement, Confidential Information means nonpublic information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential. The receiving party shall: (a) use Confidential Information solely to perform its obligations under this Agreement; (b) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but not less than reasonable care; and (c) not disclose Confidential Information to any third party except to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein.

Confidentiality obligations shall continue for a period of from the date of disclosure, unless otherwise required by law. Notwithstanding the foregoing, Confidential Information does not include information that is or becomes publicly available without breach, is rightfully received from a third party without restriction, or is independently developed without use of Confidential Information.

Representations; Remedies

Each party represents that it has the power and authority to enter into this Agreement and to perform its obligations hereunder. Breach of the confidentiality obligations or other material provisions shall entitle the non-breaching party to seek injunctive relief and any other remedies available at law or in equity.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of without regard to its conflict of laws principles.

Entire Agreement; Amendments

This Agreement, including any attached schedules or exhibits, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior written or oral agreements and understandings. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Miscellaneous Provisions

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. No waiver of any breach shall be deemed a waiver of any subsequent breach. Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest to substantially all of its assets or business.
