BUSINESS STRESS DOCUMENT

This Business Stress Assessment and Stabilization Agreement (the Agreement) is entered into as of Effective Date:

WHEREAS

WHEREAS, Client is experiencing business stress characterized by financial constraints, operational disruption, or liquidity pressures that threaten ongoing operations and require specialized assessment and stabilization services; and

WHEREAS, Consultant represents that it has the professional expertise, experience, and capacity to perform a thorough assessment of the Client's condition and to propose and implement remedial measures to stabilize operations, preserve enterprise value, and advise on creditor and vendor communications; and

WHEREAS, the parties desire to set forth the scope, compensation, confidentiality and other terms upon which Consultant will provide such services.

Scope of Work

Consultant shall perform a Business Stress Assessment and Stabilization Program as described below. The assessment and services may include but are not limited to: forensic review of cash flow, short-term liquidity modeling, vendor and creditor prioritization, operational cost reduction recommendations, interim management support, and preparation of written stabilization plans.

Payment Terms

As consideration for the services performed by Consultant, Client shall pay the amounts and according to the schedule set forth below. All amounts are in United States dollars unless otherwise stated.

Term and Termination

This Agreement shall commence on Start Date: and shall remain in effect until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Either party may terminate immediately for material breach by the other party if such breach remains uncured for more than thirty (30) days after written notice.

Upon termination, Client shall pay Consultant for all services performed and reasonable expenses incurred through the effective date of termination, together with any non-cancellable commitments made by Consultant in furtherance of the Scope of Work.

Confidentiality

Each party acknowledges that in the course of performance it will receive Confidential Information of the other party. "Confidential Information" means non-public commercial, operational, financial or personal information disclosed in any form. The receiving party shall (i) hold Confidential Information in strict confidence, (ii) use Confidential Information solely for the purposes of performing its obligations under this Agreement, and (iii) not disclose Confidential Information to any third party except to employees, contractors or professional advisors who have a need to know and who are bound by confidentiality obligations no less protective than those herein.

Confidential obligations survive termination for a period of three (3) years from the date of disclosure, except that trade secrets shall remain protected for as long as they qualify as trade secrets under applicable law. Confidential Information shall not include information that is or becomes publicly available through no fault of the receiving party, or that is independently developed by the receiving party without use of the disclosing party's Confidential Information.

Indemnification and Limitation of Liability

Each party shall indemnify, defend and hold harmless the other party from and against any third-party claims arising from its gross negligence, willful misconduct, or material breach of this Agreement. Consultant's aggregate liability arising out of or relating to this Agreement shall not exceed the total fees paid by Client to Consultant under this Agreement in the twelve (12) months preceding the event giving rise to liability. In no event shall either party be liable for consequential, incidental, punitive or special damages.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

The parties shall first attempt in good faith to resolve any dispute arising out of this Agreement through negotiation. If negotiation fails, the parties agree to submit the dispute to non-binding mediation prior to initiating any court proceeding, provided that either party may seek injunctive relief where necessary to protect its rights.

Entire Agreement; Amendments

This Agreement, including the Scope of Work and any attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No amendment, modification or waiver shall be effective unless in a writing signed by both parties.
