BUSINESS STRIKE AGREEMENT

This Business Strike Agreement (the "Agreement") is entered into effective as of by and between with principal place of business at (hereinafter "Company"), and with principal place of business at (hereinafter "Counterparty").

RECITALS

WHEREAS, Company is engaged in lawful commercial operations and seeks to coordinate certain labor-related actions that may include strikes, work stoppages, or related business interruption measures to effectuate commercial strategy consistent with applicable law; and

WHEREAS, Counterparty represents that it is authorized to participate in or organize such actions and has the authority to commit resources, subject to the terms and limitations set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective obligations, payment terms, confidentiality obligations, and the procedures governing the coordination and conduct of any strike-related activities, all on the terms and conditions set forth herein.

SCOPE OF WORK

The parties shall cooperate to implement the activities described above. Each party shall perform its obligations in good faith, in accordance with applicable law, and shall not undertake any action that would materially increase legal exposure to the other party without prior written consent.

PAYMENT TERMS

Late payments shall accrue a late fee of % per month (or a minimum late fee of $ ), calculated from the first day following the due date until paid in full. The imposition of late fees is without prejudice to any other remedies available to the non-breaching party.

TERM AND TERMINATION

This Agreement commences on and shall terminate on unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within the notice period specified above. Termination for cause shall not limit recovery of damages or other remedies available at law or equity.

CONFIDENTIALITY

Each party (the "Receiving Party") shall hold in strict confidence all non-public information disclosed by the other party (the "Disclosing Party") in connection with this Agreement, including plans, tactics, lists, financial information, and communications related to strike coordination ("Confidential Information"). Confidential Information shall be used solely for purposes of performing under this Agreement and shall not be disclosed to any third party except as required by law or to those advisors who need to know and who are bound to confidentiality obligations no less protective than those herein.

The obligations in this section shall survive termination or expiration of this Agreement for the period specified above. Notwithstanding the foregoing, Confidential Information that becomes publicly known other than by breach of this Agreement shall not be subject to these restrictions.

INDEMNIFICATION; LIABILITY

Each party shall indemnify, defend and hold harmless the other party from and against any losses, liabilities, damages, fines, penalties and expenses (including reasonable attorneys' fees) arising from the indemnifying party's breach of this Agreement, willful misconduct, or violation of applicable law in connection with the activities herein. Neither party shall be liable for consequential, incidental, special, or punitive damages except for breaches of confidentiality or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including all schedules and attachments if any, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings and agreements, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Assignment: Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except to an affiliate or successor in connection with a merger or sale of substantially all assets.

Notices: All notices under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party designates by written notice to the other.
