BUSINESS STRIPING DOCUMENT

This Business Striping Document (the "Agreement") is entered into by the parties identified above as of the Effective Date set forth below and governs the performance by Contractor of parking-lot and pavement striping, marking, and related services at the Project Address.

Recitals

WHEREAS, Client desires to procure professional striping and pavement marking services for the property located at the Project Address; and

WHEREAS, Contractor represents that it is duly qualified, licensed, and experienced to perform such work in a professional manner consistent with applicable industry standards; and

WHEREAS, the parties desire to set forth the terms, scope, and payment for the work to be performed under this Agreement.

Contractor shall furnish all labor, materials, equipment, supervision, and permits necessary to perform the work described herein in a good and workmanlike manner and consistent with applicable standards for pavement markings.

Standard materials and methods: Contractor shall use high-quality traffic paint or thermoplastic markings appropriate to the Project Address surface, meeting reflectivity and durability standards customarily used in the jurisdiction. Contractor shall protect surrounding surfaces and restore disturbed areas in a reasonable manner.

Payment Terms

Client shall pay Contractor the contract sum in United States Dollars according to the schedule below. All payments shall be due as specified; failure to pay when due shall constitute a breach.

Client shall reimburse Contractor for court costs and reasonable collection fees if payment enforcement becomes necessary. Contractor may suspend work if Client fails to timely pay undisputed amounts following written notice and a 7-day cure period.

This Agreement commences on the Contract Start Date and continues until completion of the work described in the Scope of Work or the Contract End Date, whichever occurs first, unless earlier terminated as provided herein.

Either party may terminate for material breach if the breaching party fails to cure within the notice period specified above. Termination shall not relieve Client of obligation to pay for work performed and materials ordered prior to termination.

Confidentiality

Each party shall keep confidential all non-public business, financial, technical, or operational information of the other party disclosed in connection with this Agreement and shall not use or disclose such information except as necessary to perform under this Agreement or as required by law. Confidentiality obligations do not apply to information that is or becomes publicly available through no breach of this Agreement or that is rightfully received from a third party without restriction.

Insurance and Indemnification

Contractor shall maintain commercial general liability insurance and workers' compensation as required by law and shall provide certificates of insurance upon request. Contractor agrees to indemnify and hold harmless Client from and against claims, liabilities, losses, damages, and expenses arising from Contractor's negligent performance of the work, except to the extent caused by Client's gross negligence or willful misconduct.

Warranties and Remedies

Contractor warrants that materials and workmanship shall be free from defects for a period of 90 days from completion. Client's exclusive remedy for breach of this warranty is prompt repair or replacement of defective work by Contractor at Contractor's expense. This warranty does not cover normal wear, damage from subsequent construction, or damage caused by vehicle impact.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflicts of law principles.

This Agreement, including all attachments and documents incorporated by reference, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior negotiations, proposals, or agreements, whether written or oral. Any modification must be in writing and signed by both parties.

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
