BUSINESS SUBCONTRACT AGREEMENT

This Business Subcontract Agreement (the Agreement) is made as of Effective Date: by and between Contractor Name: with principal place of business at (Contractor), and Subcontractor Name: with principal place of business at (Subcontractor). Contractor and Subcontractor are each a Party and together the Parties.

WHEREAS

WHEREAS, Contractor has entered into a primary contract or agreement to perform certain services or deliver certain goods for a client or owner (the Prime Contract) and desires to engage Subcontractor to perform a portion of such work under the terms set forth herein; and

WHEREAS, Subcontractor represents that it possesses the skill, experience, personnel and licenses necessary to perform the portion of work described in this Agreement and is willing to perform such work for Contractor in accordance with the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

SCOPE OF WORK

Subcontractor shall perform the services and provide the deliverables described below (the Work). Subcontractor shall perform the Work in a professional and workmanlike manner in accordance with industry standards and the requirements of the Prime Contract to the extent applicable.

PAYMENT TERMS

Contractor shall pay Subcontractor the Total Subcontract Sum of for full and satisfactory performance of the Work, subject to adjustments for changes in the Work as provided herein.

Invoices shall be submitted to Contractor in the form specified by Contractor and will be paid within days of receipt of an approved invoice. Late payments shall accrue interest at or the maximum rate permitted by law, whichever is less.

TERM AND TERMINATION

Either Party may terminate this Agreement for material breach by the other Party if the breach remains uncured for the notice period specified above following written notice. Contractor may terminate immediately for cause where Subcontractor's performance endangers the project, persons, or property. Upon termination, Subcontractor shall be entitled to payment for Work performed and approved to the date of termination, less any setoffs for Contractor's damages resulting from Subcontractor's breach.

CONFIDENTIALITY

Subcontractor shall keep strictly confidential all proprietary, financial and technical information disclosed by Contractor or the owner that is designated confidential or reasonably should be understood to be confidential (Confidential Information). Subcontractor will not use Confidential Information except to perform the Work and will not disclose it to any third party without Contractor's prior written consent. The obligations in this Section shall not apply to information that is (a) already in the public domain through no fault of Subcontractor; (b) lawfully received from a third party without restriction; or (c) independently developed by Subcontractor without use of Confidential Information. Upon request, Subcontractor shall promptly return or destroy Confidential Information and certify such return or destruction.

INSURANCE AND INDEMNIFICATION

Subcontractor shall maintain insurance customary for the type of work, including commercial general liability and workers' compensation as required by law, and shall provide certificates of insurance upon request. Subcontractor shall indemnify, defend and hold harmless Contractor, its agents, employees and affiliates from and against any claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising out of Subcontractor's performance of the Work, except to the extent caused by Contractor's gross negligence or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law provisions. The Parties submit to the exclusive jurisdiction of the courts located in that State for disputes arising under this Agreement, unless otherwise agreed in writing.

ENTIRE AGREEMENT; AMENDMENTS

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. No amendment, waiver or modification shall be effective unless in writing and signed by authorized representatives of both Parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither Party may assign this Agreement without the prior written consent of the other, except that Contractor may assign to an affiliate or successor by merger or sale of substantially all its assets.
