What the Business Subjectivities Document Is and Where It Fits

The Business Subjectivities Document lists conditions precedent, verifications, and approvals that must be satisfied before a commercial transaction advances or closes. Typical subjectivities include financing, regulatory approvals, definitive contract execution, lien searches, material adverse change reviews, and third-party consents. The document allocates responsibility, sets cure periods and deadlines, and records required evidence or deliverables; it is commonly appended to letters of intent, purchase agreements, loan commitments, or closing checklists. Where executed electronically, the document remains governed by U.S. e-signature law such as the ESIGN Act (15 U.S.C. ch. 96) and applicable state UETA statutes.

Why a Clear Subjectivities Document Matters

A precise Business Subjectivities Document reduces ambiguity about who must do what, by when, and with what proof; it limits disputes by tying obligations to evidence and cure mechanics and preserves deal certainty while parties complete due diligence and third-party approvals.

Why a Clear Subjectivities Document Matters

Who Typically Prepares and Relies on This Document

The Business Subjectivities Document is used across deal teams, legal departments, lenders, and brokers to record conditional obligations and acceptance criteria.

  • Buyers and acquirers who require defined closing conditions and evidence before funding or transfer.
  • Sellers and target company executives who must cure or provide documents to remove subjectivities.
  • Lenders, investors, and counsel who monitor satisfaction of financing, regulatory, and title conditions.

Accurate preparation helps procurement, legal, and finance teams coordinate verification tasks and reduces the risk of closing delays.

Essential Sections to Include in a Professional Subjectivities Document

A practical document is organized into discrete sections: parties, each subjectivity with deadline, required evidence, responsible party, cure mechanism, and signature/authentication details. Clear structure reduces interpretation risk and simplifies electronic routing.

Parties

Identify each legal entity or individual by full legal name, role (buyer, seller, lender), and contact for notices; accuracy prevents mismatches at closing.

Subjectivity List

Number each condition, describe the triggering event, and state the precise deliverable or approval required to satisfy it, avoiding vague language.

Responsible Party

Specify who must act to satisfy each subjectivity and provide the name, title, and contact for the responsible person or department.

Deadline & Cure

State the calendar deadline (MM/DD/YYYY) and any cure period or extension mechanics, including how extensions are approved in writing.

Evidence Required

List the form of proof accepted (executed instrument, certificate, transcripts, lender commitment) and acceptable file formats where relevant.

Authentication

Specify signing authority, whether notarization or witness is required, and acceptable electronic authentication levels for e-signatures.

Step-by-Step: Completing a Business Subjectivities Document

Follow these sequential steps to draft, review, and execute subjectivities cleanly and to preserve evidentiary value.

  • 01
Draft: List each condition, responsible party, proof required, and deadline.
  • 02
Review: Have legal, finance, and operations confirm feasibility and evidence sources.
  • 03
Negotiate: Clarify cure rights, extensions, and consequences of unmet subjectivities.
  • 04
Execute: Obtain authorized signatures and record audit trail for each signer.

Common Timing Patterns and Deadlines

Subjectivity timing varies by transaction type; include hard dates, relative deadlines, and remediation windows to avoid confusion about when obligations lapse.

Typical Subjectivity Period:

30–60 days is common for due diligence and lender commitments unless parties agree otherwise.

Financing Commitment Deadline:

Specify the date the lender's commitment must be delivered and any acceptable conditional language.

Regulatory Approval Window:

Set a reasonable timeframe tied to filing dates or agency estimates; note who pays for filing fees.

Cure Period:

Allow a defined cure period (often 10–30 days) and state how cure is documented.

Extension Mechanics:

State whether extensions require written consent and which party can request them.
