NOW, THEREFORE, in consideration of the mutual covenants and promises contained in this Agreement, the parties agree as follows.

Scope of Work

The Submitting Party will provide the materials, proposals, data, and services described below. The Receiving Party will review, evaluate, and may request clarifications or revisions. The specific deliverables, performance milestones, and acceptance criteria are set out in the Scope of Work field.

Payment Terms

The Receiving Party shall compensate the Submitting Party in accordance with the terms below. Unless otherwise specified in a separate signed amendment, the following Payment Terms govern.

Late payments shall accrue interest at the rate specified below, applied to the outstanding balance and compounded monthly until paid in full.

Term and Termination

This Agreement shall commence on the Start Date and continue until the End Date unless terminated earlier in accordance with this section.

Either party may terminate this Agreement for material breach that remains uncured for the notice period specified above. Termination shall not relieve either party of obligations accrued prior to termination, including payment obligations and confidentiality duties.

Confidentiality

Each party acknowledges that in the course of performance it may receive confidential or proprietary information of the other party. Such Confidential Information shall be used solely for the purposes of the submission and performance under this Agreement and shall not be disclosed to third parties without the prior written consent of the disclosing party, except as required by law. Confidential Information excludes information that is or becomes public through no wrongful act of the receiving party, is independently developed without use of the other party’s Confidential Information, or is rightfully received from a third party without restriction.

Representations and Warranties

The Submitting Party represents and warrants that: (a) it has full authority to submit the materials and to enter into this Agreement; (b) the materials provided are not subject to undisclosed third-party rights that would prevent performance of this Agreement; and (c) it will comply with all applicable laws in the performance of its obligations. The Receiving Party represents that it will review submissions in good faith and will not willfully misappropriate the Submitting Party’s proprietary concepts.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State/Province specified below without regard to conflict of laws principles. The parties shall attempt to resolve disputes through good faith negotiation; if unresolved within thirty (30) days, either party may seek resolution through binding arbitration or in a court of competent jurisdiction as elected by the non-breaching party.

Entire Agreement

This Agreement, together with any exhibits or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification shall be effective only if in writing and signed by authorized representatives of both parties.
