BUSINESS SUBSCRIPTION AGREEMENT

This Business Subscription Agreement (the Agreement) is entered into as of , (Effective Date) by and between:

RECITALS

WHEREAS, Provider is engaged in the business of providing subscription-based access to certain software, services, or deliverables as described herein; and

WHEREAS, Subscriber desires to obtain and Provider agrees to provide such subscription services under the terms and conditions set forth in this Agreement.

WHEREAS, the parties intend for this Agreement to govern the relationship between them, including payment, term, confidentiality, and remedies for breach.

SCOPE OF SERVICES

Provider will provide the subscription services and related deliverables to Subscriber as described below. Provider shall use commercially reasonable efforts to perform the services in a professional manner in accordance with industry standards.

PAYMENT TERMS

Subscriber shall pay Provider the subscription fees and any other charges in accordance with this section. All fees are exclusive of taxes, which Subscriber shall pay where applicable.

Payment shall be due within days of invoice unless otherwise agreed in writing. Late payments shall accrue interest as provided below.

TERM AND TERMINATION

This Agreement commences on the Start Date set forth below and shall continue until the End Date, unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach by the other party if the breach is not cured within days after written notice. Either party may terminate for convenience upon days' prior written notice.

CONFIDENTIALITY

Each party (Recipient) shall hold in confidence all non-public, confidential or proprietary information disclosed by the other party (Discloser) that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Recipient shall not disclose Confidential Information to any third party and shall use it only to perform its obligations under this Agreement. Recipient shall protect Confidential Information with the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

Confidentiality obligations survive termination of this Agreement for a period of years, except that trade secrets shall remain protected for as long as they remain trade secrets under applicable law. Exceptions include information that is independently developed, rightfully known prior to disclosure, or required to be disclosed by law (in which case Recipient shall provide prompt written notice and cooperate with Discloser to seek protective measures).

LIMITATION OF LIABILITY

Except for liability arising from breach of confidentiality, willful misconduct, gross negligence, or intellectual property infringement, neither party shall be liable for consequential, incidental, special, punitive or exemplary damages. Each party's aggregate liability for claims arising out of or relating to this Agreement shall not exceed the total fees paid or payable by Subscriber to Provider under this Agreement in the twelve (12) months preceding the claim.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties shall attempt in good faith to resolve any dispute arising out of this Agreement through negotiation. If unresolved within 30 days, either party may pursue any available remedy in the courts located in the governing state.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Provider may assign to an affiliate or in connection with a merger or sale of substantially all its assets. Failure or delay by either party to enforce any right shall not operate as a waiver of such right.
