Payment Terms

Subscriber shall pay Provider the subscription fees and any accepted add‑on charges in accordance with the selected plan and schedule. Fees are non-refundable except as expressly stated in this Booklet.

Late Payment: Any amount not received by Provider within the period set forth above shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law, plus any reasonable collection costs incurred by Provider.

Term and Termination

This subscription commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this Booklet.

Either party may terminate for material breach that remains uncured for Notice Period (days): after written notice specifying the breach. Provider may suspend services immediately for nonpayment.

Confidentiality

Each party (the "Recipient") shall keep confidential all non-public, proprietary, or business information disclosed by the other party (the "Discloser") and shall not use such information except to perform under this Booklet. Confidential information does not include information which: (i) is or becomes publicly available through no breach; (ii) was rightfully in Recipient’s possession prior to disclosure; or (iii) is rightfully received from a third party without obligation of confidentiality. Recipient shall use commercially reasonable measures to protect Confidential Information and shall restrict access to personnel with a need to know.

Intellectual Property and Use

Unless otherwise agreed in writing, Provider retains all ownership and intellectual property rights in materials, methodologies and deliverables created prior to and during the provision of services, subject to a limited, non-exclusive license to Subscriber to use deliverables solely for its internal business purposes consistent with this Booklet. Subscriber shall not copy, resell or redistribute Provider materials without prior written consent.

Representations; Warranties; Liability

Each party represents that it has the authority to enter into this Booklet. Provider warrants that services will be performed in a professional manner. EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED "AS IS" AND PROVIDER DISCLAIMS ALL OTHER WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF PROVIDER FOR ANY CLAIM RELATED TO THIS BOOKLET SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY SUBSCRIBER TO PROVIDER DURING THE PRIOR SIX (6) MONTHS.

Governing Law

This Booklet shall be governed by and construed in accordance with the laws of the jurisdiction of Governing State: , without regard to its rules on conflicts of law.

Entire Agreement
