BUSINESS SUCCESS CHAIN AGREEMENT

This Business Success Chain Agreement ("Agreement") is entered into as of by and between:

WHEREAS

WHEREAS, Client seeks structured support, systems, and strategic services to improve business performance, scalability and profitability through a defined sequence of initiatives and deliverables (the "Business Success Chain");

WHEREAS, Service Provider represents that it has the experience, personnel and resources necessary to design, implement and coordinate the Business Success Chain tailored to Client's needs; and

WHEREAS, the parties desire to set forth the scope, payment terms, confidentiality obligations, and other terms governing the provision of such services.

SCOPE OF WORK

Service Provider shall perform the services described below and any additional services agreed in writing by the parties. The core deliverables and milestones are set out in the project plan and may include strategy sessions, process redesign, training modules, performance metrics, and implementation assistance.

PAYMENT TERMS

Total Fee: $ . Payment shall be made in accordance with the schedule below.

Late Payment: Any unpaid amount shall accrue interest at a rate of percent per month (or the maximum permitted by law, if less), calculated monthly from the due date until paid in full.

Expenses: Client shall reimburse pre-approved, reasonable out-of-pocket expenses incurred by Service Provider in performance of the Work, upon submission of supporting documentation.

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate immediately for material breach by the other party that remains uncured for thirty (30) days following written notice of such breach. Termination shall not relieve Client of payment obligations for services performed through the effective date of termination.

CONFIDENTIALITY

Definition: "Confidential Information" means all non-public information disclosed by a party ("Disclosing Party") to the other ("Receiving Party") whether oral, written, electronic or other form, that is marked confidential or which a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

Obligations: Receiving Party shall (i) use Confidential Information solely to perform its obligations under this Agreement; (ii) restrict disclosure to its employees, contractors or advisors who have a need to know and are bound by confidentiality obligations no less protective than those herein; and (iii) exercise at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

Exceptions: Confidential Information does not include information that: (a) is or becomes publicly available through no breach by Receiving Party; (b) was lawfully in Receiving Party's possession prior to disclosure; (c) is received from a third party without breach of an obligation of confidentiality; or (d) is independently developed by Receiving Party without use of Disclosing Party's Confidential Information.

Compelled Disclosure: If Receiving Party is compelled by law to disclose Confidential Information, it shall provide prompt written notice to Disclosing Party (to the extent legally permitted) and cooperate with Disclosing Party's efforts to seek a protective order or other appropriate remedy.

INTELLECTUAL PROPERTY

Ownership: Unless otherwise agreed in writing, Service Provider shall retain ownership of its pre-existing intellectual property and methodologies. Client shall own all right, title and interest in Deliverables produced specifically for Client under this Agreement upon full payment of all fees due for such Deliverables. Service Provider grants to Client a perpetual, non-exclusive, non-transferable license to use any underlying Service Provider tools incorporated into the Deliverables solely as necessary to use the Deliverables for Client's internal business purposes.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Indemnification: Each party shall indemnify, defend and hold harmless the other party and its officers, directors and employees from and against any third-party claim arising from the indemnifying party's gross negligence, willful misconduct, or material breach of its representations or obligations under this Agreement.

Limitation of Liability: EXCEPT FOR A PARTY'S INDEMNIFICATION OBLIGATIONS OR LIABILITY FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, IN NO EVENT SHALL EITHER PARTY'S AGGREGATE LIABILITY ARISING OUT OF THIS AGREEMENT EXCEED THE AMOUNTS PAID OR PAYABLE BY CLIENT TO SERVICE PROVIDER UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below.

GOVERNING LAW; DISPUTE RESOLUTION

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

Disputes: The parties shall attempt in good faith to resolve any dispute arising under this Agreement by negotiation between senior representatives. If the dispute cannot be resolved within forty-five (45) days, either party may pursue any available legal or equitable remedies in the courts of the governing state.

ENTIRE AGREEMENT; AMENDMENT

Entire Agreement: This Agreement, including all exhibits and statements of work expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written.

Amendment: Any modification or amendment to this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Relationship of the Parties: The parties are independent contractors. Nothing in this Agreement shall be deemed to create a partnership, joint venture, agency or employment relationship between the parties.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
