BUSINESS SUCCESS GPS

This Business Success GPS Advisory Agreement (the Agreement) is made effective as of Effective Date: by and between Client Name: and Consultant Name: .

RECITALS

WHEREAS, Client desires to retain Consultant to provide business advisory, strategic planning, and implementation guidance designed to improve the Client's operational performance and market position; and

WHEREAS, Consultant has the experience, qualifications, and capacity to provide the services described herein and is willing to provide such services to Client on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties wish to set forth their understanding and agreement regarding the scope, compensation, schedule, confidentiality, and other material terms of their relationship.

SCOPE OF WORK

Consultant will provide advisory services, deliverables, and assistance as described below. The services shall include, without limitation, strategic assessment, development of a prioritized action plan, implementation coaching, and periodic performance reviews. Specific tasks, milestones, and deliverables are set forth in the Scope of Work field below.

PAYMENT TERMS

Fees: In consideration for the Services, Client shall pay Consultant a total fee of USD $.

Invoicing: Consultant shall submit invoices in accordance with the Payment Schedule. Payments are due within days of invoice. Overdue amounts shall accrue interest at the rate of per month (or the maximum rate permitted by applicable law, if lower).

TERM AND TERMINATION

Term: The term of this Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Termination: Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the effective date of termination. Either party may terminate immediately for material breach by the other party if such breach remains uncured for a period of 15 days after receipt of written notice specifying the breach. Termination shall not relieve Client of its obligation to pay for Services performed and reimbursable expenses incurred through the effective date of termination.

CONFIDENTIALITY

Definition and Obligation: "Confidential Information" means non-public business, financial, technical, and strategic information disclosed by one party (Disclosing Party) to the other (Receiving Party) that is identified as confidential or that by its nature should be understood to be confidential. Receiving Party shall hold Confidential Information in strict confidence, shall not disclose it to third parties except as expressly permitted in writing, and shall use it only to perform obligations under this Agreement.

Exclusions and Duration: Confidential Information does not include information that is (a) publicly known without breach of this Agreement, (b) rightfully received from a third party without restriction, or (c) independently developed by Receiving Party without reliance on Disclosing Party's Confidential Information. The confidentiality obligations set forth herein shall survive termination or expiration of this Agreement for a period of years.

Remedies: The parties acknowledge that breach of this Section may cause irreparable harm for which monetary damages would be inadequate and that injunctive relief may be an appropriate remedy in addition to other available remedies.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict-of-law principles that would apply the laws of another jurisdiction.

ENTIRE AGREEMENT AND MISCELLANEOUS

Entire Agreement: This Agreement, together with any appendices or schedules referenced herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings, and communications, whether written or oral. Any amendment or modification must be in writing and signed by both parties.

Assignment: Neither party may assign or delegate its rights or obligations under this Agreement without the prior written consent of the other party, except that Consultant may assign receivables to a financing institution.

Independent Contractor Status: Consultant is an independent contractor and nothing in this Agreement shall be construed to create an employment, partnership, joint venture, or agency relationship between the parties.
