Business Success Idea

This Business Success Idea Agreement (the "Agreement") is entered into as of Effective Date: by and between Client Name: and Provider Name: . The parties agree as follows.

RECITALS

WHEREAS, Client seeks strategic guidance, actionable concepts, and a prioritized plan (collectively, the "Idea") designed to increase commercial success, market reach, or operational efficiency; and

WHEREAS, Provider has represented that it possesses experience and capability to develop, refine, and present the Idea, including analysis, recommendations, and implementation guidance; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the development, delivery, payment, confidentiality, and ownership of the Idea.

SCOPE OF WORK

Provider will perform the services described below and shall deliver the agreed Idea deliverables in accordance with the schedule and milestones set forth. Provider shall exercise commercially reasonable efforts, professional skill, and care in performing the services.

PAYMENT TERMS

As consideration for the services and deliverables, Client shall pay Provider the amounts and on the schedule specified below. All payments are exclusive of applicable taxes unless otherwise required by law.

Late payments shall accrue interest at a rate of % per month (or the maximum permitted by law, if lower), commencing fifteen (15) days following the payment due date. Provider may suspend performance if payments are overdue more than thirty (30) days after notice.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and, unless earlier terminated, shall continue until End Date: (the "Term"), or until the delivery and final acceptance of the final deliverable, whichever occurs later.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach. Termination shall not relieve Client of its obligation to pay for services performed and expenses incurred through the effective date of termination.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other, whether orally, in writing, or by inspection, that is designated as confidential or that reasonably should be understood to be confidential given its nature. Confidential Information includes, without limitation, business plans, financial data, customer lists, trade secrets, and the Idea.

Each party agrees to: (a) hold Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information (but in no event less than reasonable care); (b) not disclose Confidential Information to any third party except to those employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations at least as restrictive as those herein; and (c) use Confidential Information solely to exercise rights and perform obligations under this Agreement.

Confidentiality obligations shall survive termination for a period of years, except that trade secrets shall remain protected for so long as they qualify as trade secrets under applicable law.

OWNERSHIP OF DELIVERABLES

Unless otherwise agreed in writing, Provider grants Client a nonexclusive, worldwide, perpetual license to use the Idea and delivered materials for Client's internal business purposes upon full payment of all fees due. Provider retains ownership of all underlying methodologies, templates, and pre-existing intellectual property embodied in the deliverables. Parties may negotiate separate assignment terms for exclusive ownership if requested.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles.

MISCELLANEOUS

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any amendment or waiver must be in writing and signed by both parties.
