This Business Success Plan (the "Plan") is made effective as of between Consultant Name: and Client Name: .

RECITALS

WHEREAS, Consultant has expertise in business strategy, operations optimization, marketing, and financial planning and offers advisory services intended to increase Client business performance; and

WHEREAS, Client desires to engage Consultant to prepare and implement a Business Success Plan tailored to Client's operations and growth objectives, and Consultant is willing to provide such services under the terms and conditions set forth herein;

WHEREAS, the parties intend for this Plan to describe the scope of work, deliverables, compensation, and the rights and obligations of each party with respect to achieving measurable business outcomes.

SCOPE OF WORK

Consultant will provide advisory services and actionable deliverables as set forth below. Services include strategic planning, market analysis, operational assessment, financial modeling, and implementation coaching. Specific tasks, timelines, and performance indicators shall be as described in the Scope of Work field.

PAYMENT TERMS

Client agrees to pay Consultant the fees set forth below in consideration for the services rendered pursuant to this Plan. All payments are non-refundable except as expressly provided in this Plan.

Invoices are due within days of invoice date. Overdue amounts shall incur a late fee equal to on the outstanding balance, compounded monthly, or the maximum lawful rate if lower.

TERM AND TERMINATION

This Plan commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Plan for convenience upon days' prior written notice to the other party. Either party may terminate immediately for cause if the other party materially breaches this Plan and fails to cure such breach within 15 days after receipt of written notice specifying the breach.

CONFIDENTIALITY

For purposes of this Plan, "Confidential Information" means non-public business, financial, technical, marketing, customer, and strategic information disclosed by one party to the other, whether disclosed orally or in writing, that is designated as confidential or that should reasonably be considered confidential under the circumstances. Confidential Information does not include information that: (a) is or becomes publicly known through no wrongful act of the receiving party; (b) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information; or (c) is rightfully received from a third party without restriction.

The receiving party shall (i) use Confidential Information solely for the purposes of performing its obligations under this Plan, (ii) restrict disclosure to those employees, agents or contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein, and (iii) exercise at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

The confidentiality obligations set forth in this section shall survive termination of this Plan for a period of years, except that trade secrets shall be protected for so long as they remain trade secrets under applicable law.

INTELLECTUAL PROPERTY; WORK PRODUCT

Unless otherwise agreed in writing, Consultant retains ownership of pre-existing methodologies, templates, models and tools used to deliver the Plan (collectively "Consultant Materials"). Client shall own all deliverables specifically prepared for Client under this Plan upon full payment of all fees. Consultant grants to Client a non-exclusive, perpetual license to use Consultant Materials embedded in deliverables solely for Client's internal business purposes.

LIMITATION OF LIABILITY

Except for liability arising from gross negligence or willful misconduct, each party's aggregate liability under or in connection with this Plan shall not exceed the total fees paid by Client to Consultant under this Plan during the six (6) month period preceding the claim. Neither party shall be liable for special, incidental or consequential damages, including lost profits, arising out of or related to this Plan.

GOVERNING LAW

This Plan shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

ENTIRE AGREEMENT; AMENDMENT

This Plan, together with any attachments or exhibits expressly incorporated herein in writing, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior proposals, negotiations and agreements, whether written or oral. No amendment or modification of this Plan shall be effective unless made in writing and signed by both parties.

MISCELLANEOUS

Neither party may assign this Plan without the prior written consent of the other party, except that either party may assign to a successor in interest in connection with a merger or sale of substantially all of its assets. If any provision of this Plan is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
