Recitals

WHEREAS, Party A is engaged in the business of providing certain professional services and has the capability and willingness to perform the services described herein; and

WHEREAS, Party B desires to engage Party A to perform such services on the terms and subject to the conditions set forth in this Business Summary of Terms; and

Confidential Information excludes information that is or becomes public without breach, is rightfully received from a third party, or is independently developed. The confidentiality obligation will survive termination for a period of years.

Intellectual Property and Rights

Unless otherwise agreed in writing, Party A grants Party B a nonexclusive, nontransferable license to use deliverables for the intended business purpose upon full payment. Preexisting intellectual property and tools of each party remain the sole property of that party. Specific ownership of work-for-hire deliverables shall be governed by the definitive agreement.

Limitation of Liability

Except for liability arising from willful misconduct or gross negligence, each party's aggregate liability to the other arising out of or related to this Summary will not exceed the total fees paid by Party B hereunder during the six months preceding the claim. Neither party will be liable for consequential, incidental, or punitive damages.

Governing Law; Dispute Resolution

This Summary will be governed by and construed in accordance with the laws of without regard to conflict-of-law principles. The parties will attempt in good faith to resolve disputes promptly through negotiation between executive representatives.

Entire Agreement
