PAYMENT TERMS

Compensation for services described in the Scope of Work shall be as follows:

Late payments shall bear interest at the lesser of the maximum rate permitted by law or on overdue amounts, calculated monthly.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the intended termination date. Termination for material breach is effective upon written notice if the breaching party fails to cure within thirty (30) days after receipt of notice.

The parties acknowledge that the Report and any non-public information exchanged under this Agreement constitute Confidential Information. Each party shall (i) maintain confidentiality using at least the same degree of care it uses for its own confidential information, (ii) use Confidential Information solely for purposes of performing obligations under this Agreement, and (iii) not disclose Confidential Information to third parties except to employees, advisors, or contractors who have a need to know and who are bound by obligations of confidentiality no less protective than those set forth herein.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, together with any attachments and the Report delivered hereunder, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, regarding such subject matter. Any amendment or waiver must be in writing and signed by authorized representatives of both parties.

REPRESENTATIONS AND CERTIFICATIONS

Each party represents and warrants that it has full corporate power and authority to enter into this Agreement, that the execution and delivery of this Agreement has been duly authorized, and that the person signing on its behalf is authorized to bind the party to the terms herein.
