BUSINESS SUMMIT TEMPLATE

Parties

Recitals

WHEREAS, Organizer operates and produces a business conference and summit known as (the "Summit") at the location ; and

WHEREAS, Partner possesses expertise, sponsorship commitments, and/or services to provide certain deliverables for the Summit; and

WHEREAS, the parties desire to set forth the terms under which Partner will provide such services and Organizer will compensate Partner, as set forth in this Agreement.

Scope of Work

Partner shall perform the services and deliver the items described below in accordance with the standards customarily applicable to similar events and in compliance with applicable laws and venue rules.

Payment Terms

As consideration for the performance of the Scope of Work, Organizer shall pay Partner the total amount set forth below under the terms described. All payments are due in U.S. dollars and must be made in cleared funds.

All invoices shall include reasonable supporting documentation for charges. Late payments shall accrue the Late Payment Fee from the invoice due date until fully paid. Organizer shall be responsible for collection costs and attorneys' fees incurred in collecting overdue amounts.

Term and Termination

This Agreement commences on the Start Date below and continues until the completion of the Summit obligations or the End Date below, unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the Notice Period after receipt of written notice. Termination shall not relieve Organizer of the obligation to pay for services performed prior to termination or for non‑cancellable commitments reasonably incurred by Partner.

Confidentiality

Each party (the "Receiving Party") shall maintain the confidentiality of Confidential Information disclosed by the other party (the "Disclosing Party"). "Confidential Information" means non-public business, technical or financial information disclosed in connection with this Agreement, including attendee lists, pricing, marketing plans, trade secrets, and proprietary materials. Confidential Information does not include information that is (a) publicly known without breach of this Agreement; (b) already known to the Receiving Party prior to disclosure; (c) rightfully received from a third party without restriction; or (d) independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information.

The Receiving Party shall use Confidential Information solely for performance under this Agreement, shall restrict access to those employees and agents with a need to know, and shall not disclose Confidential Information to third parties without prior written consent. These confidentiality obligations shall survive termination of this Agreement for a period of three (3) years, or longer if required by applicable law for specific categories of information.

Intellectual Property and Use of Marks

Each party retains all right, title and interest in its pre-existing intellectual property. Partner grants Organizer a limited, non-exclusive, royalty-free license to use Partner's name and logo solely to promote the Summit in accordance with the parties' marketing guidelines. Any creation of new intellectual property specific to the Summit shall be owned as set forth in a separate written agreement or as mutually agreed in writing.

Insurance and Indemnity

Partner shall maintain appropriate insurance for its activities and indemnify and hold Organizer harmless from claims arising out of Partner's negligence or willful misconduct. Organizer shall have the right to require certificates of insurance evidencing coverages reasonably necessary for the Summit.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles. The parties agree that exclusive venue for disputes shall be the state and federal courts located in that state unless otherwise agreed in writing.

Entire Agreement

This Agreement, including any attachments and written amendments signed by both parties, constitutes the entire agreement between the parties with respect to the Summit, and supersedes all prior and contemporaneous agreements, proposals, representations and communications, whether oral or written. No amendment to this Agreement is effective unless in writing and signed by authorized representatives of both parties.

Miscellaneous Provisions

Relationship of the Parties: The parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, or employment relationship. Assignment: Neither party may assign its rights or obligations without the other's prior written consent, except to a successor in interest to substantially all of the assigning party's business. Notices: Notices shall be in writing and delivered to the addresses set forth above.
