BUSINESS SUPPLEMENT FORM

This Business Supplement Form (the "Supplement") is made effective as of Agreement Date: by and between Principal Party: and Supplementing Party: .

WHEREAS

WHEREAS, Principal Party entered into a written agreement titled Agreement Title: dated Agreement Date: (the "Original Agreement");

WHEREAS, the Parties desire to amend and supplement the Original Agreement to add certain services, obligations and commercial terms as set forth in this Supplement in order to clarify and expand the Parties' respective duties and compensation;

WHEREAS, the Parties intend that the terms of this Supplement shall operate in conjunction with, and where inconsistent shall modify, the Original Agreement only to the extent expressly stated herein.

SCOPE OF WORK

The Supplementing Party shall perform the additional services and deliverables described below in accordance with the standards and timelines set forth in the Original Agreement, except as modified below.

BUSINESS INFORMATION

PAYMENT TERMS

In consideration for the supplemental services provided under this Supplement, Principal Party shall pay Supplementing Party in accordance with the following terms. All payments are subject to the invoicing, approval and dispute procedures of the Original Agreement unless expressly modified herein.

TERM AND TERMINATION

This Supplement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either Party may terminate this Supplement for convenience upon written notice to the other Party given at least days prior to the effective date of termination. Termination for cause shall be as provided in the Original Agreement, and material breach that remains uncured after any applicable cure period shall permit the non-breaching Party to terminate immediately.

CONFIDENTIALITY

Each Party shall hold in strict confidence and shall not disclose to any third party any Confidential Information received from the other Party in connection with this Supplement. "Confidential Information" means proprietary or non-public information disclosed in written, electronic or oral form that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

The receiving Party shall use Confidential Information solely to perform its obligations under this Supplement and shall take all reasonable measures to protect the confidentiality of such information, not less than the measures it uses to protect its own confidential information. Confidentiality obligations do not extend to information that is or becomes publicly known through no breach of this Supplement, is rightfully received from a third party free of confidentiality obligations, or is independently developed without the use of Confidential Information.

The obligations under this section shall survive termination or expiration of this Supplement for a period of three (3) years, except that trade secrets shall be protected for as long as they qualify as trade secrets under applicable law. Monetary damages may be inadequate to remedy breach of confidentiality; accordingly, the disclosing Party shall be entitled to seek injunctive relief in addition to any other remedies.

GOVERNING LAW; DISPUTE RESOLUTION

This Supplement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Any dispute arising out of or relating to this Supplement shall be resolved in accordance with the dispute resolution procedures set forth in the Original Agreement, provided that if no such procedures exist, the Parties agree to submit the dispute to binding arbitration in the county or jurisdiction of the governing state.

ENTIRE AGREEMENT

This Supplement, together with the Original Agreement and any documents expressly incorporated herein, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings and agreements, whether written or oral, relating thereto. No amendment, modification or waiver of this Supplement shall be valid unless in a writing signed by duly authorized representatives of both Parties.

NOTICES

All notices required or permitted under this Supplement shall be in writing and shall be delivered to the addresses set forth below (or as otherwise designated in writing) by hand, overnight courier, certified mail (return receipt requested), or electronic mail where receipt is acknowledged.

MISCELLANEOUS PROVISIONS

If any provision of this Supplement is held invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not be affected or impaired. The Parties agree to negotiate in good faith any replacement provision that accomplishes the intent of the invalidated provision to the greatest extent permitted by law.
