BUSINESS SUPPLEMENTAL DOCUMENTS

RECITALS

WHEREAS, Provider is engaged in the business of providing professional services and supplemental documentation to support ongoing business operations, compliance, and transactions; and

WHEREAS, Client desires to obtain certain supplemental documents, deliverables and assistance from Provider as described herein to supplement Client's existing agreements, processes, or filings; and

WHEREAS, the parties desire to set forth the scope, payment, confidentiality and other terms governing the supplemental deliverables to avoid future disputes.

SCOPE OF WORK

Provider shall perform the following services and deliver supplemental documents, exhibits, and other items as set forth below. Provider will exercise commercially reasonable skill, care and diligence in performing the services.

PAYMENT TERMS

As consideration for the services and supplemental documents, Client shall pay Provider in accordance with the following terms. Payment obligations survive termination to the extent the obligation arises from services performed prior to termination.

If any undisputed amount due hereunder is not received by Provider within days after the due date, Client shall pay interest at the lesser of (a) % per month on the overdue balance, or (b) the maximum amount permitted by law, plus any costs of collection, including reasonable attorneys' fees.

TERM AND TERMINATION

This Agreement commences on the Effective Date and continues until completion of the Scope of Work or until the End Date specified below, unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above after receipt of written notice. Termination shall not relieve Client of its obligation to pay for services performed and expenses incurred through the effective date of termination. Upon termination Provider shall deliver to Client all completed work and reasonable progress materials and Client shall pay Provider for work performed to the effective date of termination on a pro rata basis.

CONFIDENTIALITY

Each party acknowledges that during the performance of this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public information that is designated as confidential or that, by its nature, would reasonably be considered confidential. Each recipient shall: (a) hold Confidential Information in strict confidence and not disclose it to any third party except as expressly permitted herein; (b) use Confidential Information solely for the purposes of performing this Agreement; and (c) take reasonable measures to protect Confidential Information from unauthorized disclosure, which measures shall be at least as protective as those the recipient uses to protect its own confidential information. Confidential Information does not include information that is or becomes publicly available through no fault of the recipient, is independently developed by the recipient without reference to the discloser's Confidential Information, or is lawfully obtained from a third party having the right to disclose it.

Upon termination or expiration of this Agreement, each recipient shall return or destroy all Confidential Information of the disclosing party, except that the recipient may retain one archival copy for compliance and legal purposes subject to the confidentiality obligations herein.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state identified below, without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including all exhibits and documents incorporated by reference, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment or modification of this Agreement will be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other party, except that Provider may assign to an affiliate or in connection with a sale of substantially all of its business assets, provided that the assignee assumes Provider's obligations hereunder. The parties acknowledge that monetary damages may not be an adequate remedy for a breach of confidentiality or intellectual property provisions and that injunctive relief may be sought in addition to other remedies.
