The Service Provider shall perform the following services and deliverables in accordance with the standards of care customarily exercised by professionals performing similar services:

Payment Terms

Compensation: Client shall pay Service Provider the sum of (USD) for the services described above.

Invoicing and Payment Terms: Service Provider shall submit invoices to Client and Client shall pay undisputed amounts within days of receipt of invoice. Payments shall be made in U.S. dollars unless otherwise agreed in writing.

Late Payment: Past due amounts shall accrue interest at a rate of per month (or the maximum rate permitted by applicable law), plus reasonable collection costs.

Term and Termination

Term: This Supplemental Sheet shall commence on and shall terminate on unless earlier terminated in accordance with this Section.

Termination for Convenience: Either party may terminate this Supplemental Sheet for convenience upon days' prior written notice to the other party.

Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches any obligation hereunder and fails to cure such breach within days after receipt of notice specifying the breach.

Confidentiality

Confidential Information means nonpublic business, technical, financial or other information designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each party shall: (a) treat Confidential Information of the other party as strictly confidential; (b) use such Confidential Information only to perform its obligations under the primary agreement and this Supplemental Sheet; and (c) restrict disclosure to employees, agents, contractors or advisors with a need to know and who are bound by confidentiality obligations at least as protective as those contained herein. The obligations set forth in this Section shall survive termination of this Supplemental Sheet for a period of three (3) years, except that trade secrets shall be protected for so long as they qualify as trade secrets under applicable law.

Insurance, Compliance and Warranties

Insurance: Service Provider shall maintain, at its expense, commercial general liability, professional liability (if applicable), workers' compensation and other insurance as required by the primary agreement or as reasonably necessary for the services. Minimum coverages and limits:

Compliance and Warranties: Each party represents and warrants that it is in compliance with all applicable laws, rules and regulations necessary to perform its obligations hereunder. Service Provider warrants that services will be performed in a professional and workmanlike manner and in accordance with the requirements of the primary agreement and this Supplemental Sheet for a period of following delivery.

Governing Law; Remedies; Entire Agreement

Governing Law: This Supplemental Sheet shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

Remedies: Except as otherwise provided in the primary agreement, the parties agree that monetary damages may be inadequate to remedy certain breaches and that equitable relief, including specific performance and injunctive relief, may be appropriate in addition to any other remedies available at law or in equity.

Entire Agreement: This Supplemental Sheet, together with the primary agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral. In the event of any conflict between the terms of this Supplemental Sheet and the primary agreement, the terms of this Supplemental Sheet shall control to the extent expressly stated herein.
