Business Support Expression

This Business Support Expression (the "Agreement") is entered into by and between Client Name: and Support Provider Name: .

WHEREAS

WHEREAS, the Client desires to obtain business support services, including but not limited to advisory, administrative, and operational support, as further described in the Scope of Work; and

WHEREAS, the Support Provider represents that it has the experience, personnel, and resources necessary to provide such services and agrees to perform them in accordance with the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend that this Expression establish binding obligations for the performance, payment, confidentiality, and governing law provisions set forth herein.

Scope of Work

Payment Terms

Compensation: Client shall pay Support Provider a total fee of USD for the services described above, subject to the schedule below.

Invoicing and Payment: Support Provider shall submit invoices in accordance with the payment schedule. Client shall pay each undisputed invoice within days of receipt.

Late Payment: Any past-due amount shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law. In addition, Support Provider may suspend services upon providing five (5) days' written notice for any invoice more than days overdue.

Term and Termination

Term: This Agreement shall commence on the Effective Date: and continue until the Term End Date: , unless earlier terminated in accordance with this section.

Termination for Convenience: Either party may terminate this Agreement for convenience upon providing written notice at least days prior to the intended termination date.

Effect of Termination: Upon termination, Client shall pay Support Provider for all services performed and expenses incurred through the effective date of termination. Each party shall promptly return or securely destroy the other party's Confidential Information in its possession, subject to any lawful retention required by applicable law.

Confidentiality

Definition: "Confidential Information" means non-public information disclosed by a party in connection with this Agreement, whether oral, written, or electronic, including business plans, customer lists, financial information, trade secrets, and technical data.

Non-Disclosure and Use: Each party shall (i) hold Confidential Information in strict confidence, (ii) not disclose Confidential Information to any third party except as expressly permitted by this Agreement, and (iii) use Confidential Information solely to perform its obligations or exercise its rights under this Agreement.

Exclusions: Confidential Information does not include information that (a) is or becomes generally available to the public through no fault of the receiving party, (b) is rightfully received from a third party without restriction, (c) is independently developed without use of the disclosing party's Confidential Information, or (d) is required to be disclosed by law, provided the receiving party gives prompt notice and cooperates to seek protective measures.

Duration: The obligations in this Confidentiality section shall survive termination of this Agreement for a period of years, except for trade secrets which shall remain protected for so long as they qualify as trade secrets under applicable law.

Representations and Warranties

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder, and that performance will not violate any applicable law or contract with a third party.

Limitation of Liability

Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, neither party shall be liable to the other for incidental, consequential, special, or punitive damages. Aggregate liability for any claim arising out of or relating to this Agreement shall not exceed the total fees paid or payable by Client to Support Provider under this Agreement during the six (6) month period preceding the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

Entire Agreement

This Agreement, including all exhibits and attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses provided above, and shall be deemed given when delivered personally, one business day after deposit with a nationally recognized overnight carrier, or three business days after mailing by certified mail, return receipt requested.

Miscellaneous Provisions

Independent Contractors: The parties are independent contractors. Nothing in this Agreement creates an employment, partnership, joint venture, or agency relationship between the parties.

Assignment: Neither party may assign or delegate its rights or obligations under this Agreement without the prior written consent of the other party, except that Support Provider may assign its rights to a successor to all or substantially all of its business without consent.
