BUSINESS SUPPORT LETTER

RECITALS

WHEREAS, Supporting Party (identified above) has reviewed the business plan, financial information and related materials submitted by Beneficiary and has formed the intent to provide commercial support in the form and on the terms set forth in this letter; and

WHEREAS, Beneficiary seeks to secure performance, credit accommodation or other business assistance and has requested confirmation of Supporting Party's intent to provide specified support; and

WHEREAS, the parties desire to set forth the scope, payment terms, duration, confidentiality and the legal framework for such support in a binding instrument.

SCOPE OF WORK

Supporting Party agrees to provide the following support to Beneficiary. The description below must specify deliverables, milestones and responsibilities. Parties may attach supplemental schedules if needed; any such schedule executed by both parties becomes part of this letter.

PAYMENT TERMS

Supporting Party's financial commitment to Beneficiary shall be governed by the amounts and schedule below. All payments are due in United States dollars unless otherwise agreed in writing.

All fees and reimbursable expenses shall be invoiced in accordance with the payment schedule. Failure to remit any undisputed amounts within 30 days of invoice shall permit the non-defaulting party to suspend performance after providing ten (10) days' written notice and to charge the agreed late fee above until payment is received.

TERM AND TERMINATION

Either party may terminate this letter for convenience upon written notice to the other party delivered no fewer than days prior to the intended termination date. CONFIDENTIALITY

Each party acknowledges that in connection with this letter it may receive Confidential Information of the other party. "Confidential Information" means non-public business, financial, technical or strategic information disclosed in connection with the support contemplated herein. Each party shall: (a) use the Confidential Information solely for the purposes of performing its obligations under this letter; (b) restrict disclosure to employees, agents or advisors who have a need to know and are bound by confidentiality obligations no less protective than those set forth herein; and (c) take reasonable measures to prevent unauthorized disclosure. Confidential Information does not include information that is or becomes generally known to the public through no fault of the receiving party or that is independently developed without use of the other party's Confidential Information. A compelled disclosure does not waive confidentiality so long as notice is provided and the disclosing party cooperates to seek protective measures.

LIMITATION OF LIABILITY

Except for willful misconduct or fraud, neither party shall be liable to the other for indirect, incidental, consequential, punitive or special damages (including lost profits). Each party's aggregate liability for direct damages arising from or related to this letter shall not exceed the total amounts actually paid under this letter during the twelve (12) month period preceding the claim.

GOVERNING LAW

This letter shall be governed by and construed in accordance with the laws of: , without regard to its conflict of laws principles.

ENTIRE AGREEMENT
