BUSINESS SUPPORT LETTERS

This Business Support Letter Agreement (the Agreement) is entered into by and between the parties identified below for the provision and use of business support letters and related services described herein.

WHEREAS

WHEREAS, Supporter provides business support letters, attestations, confirmations, and consultation in connection with commercial transactions, credit facilities, leasing, bidding, and other business purposes within the Supporter's demonstrated expertise and authority; and

WHEREAS, Client desires to obtain from Supporter one or more support letters and related services for the specific Recipient and Purpose identified below, and Supporter is willing to provide such letters and services subject to the terms and conditions of this Agreement.

WHEREAS, the parties intend that any support letter issued under this Agreement shall be limited to the express statements and representations set forth in each issued letter and governed by the terms herein.

SCOPE OF WORK

PAYMENT TERMS

Client shall pay Supporter the fees set forth below in consideration for issuance of support letters and related services. All fees are non-refundable except as expressly provided in this Agreement.

TERM AND TERMINATION

This Agreement begins on Start Date and continues until End Date unless earlier terminated in accordance with this section.

Termination for Cause: Either party may terminate immediately upon material breach by the other party that is not cured within days after written notice. Termination shall not relieve Client of its obligation to pay for services rendered and expenses incurred prior to termination.

CONFIDENTIALITY

Each party shall maintain in confidence all non-public information disclosed by the other party that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Supporter shall not disclose the contents of any support letter to third parties except (i) with Client's prior written consent; (ii) as required by law; or (iii) to Supporter's professional advisors who are bound by confidentiality obligations. The obligations in this section survive termination of this Agreement for a period of three (3) years.

USE OF SUPPORT LETTERS; LIMITATION OF LIABILITY

Support letters issued under this Agreement shall state expressly the specific facts and representations the Supporter is willing to confirm. Such letters are issued solely for the Recipient and Purpose specified in the applicable letter and may not be relied upon by other persons or for other purposes unless expressly consented to in writing by Supporter. EXCEPT FOR WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, SUPPORTER'S LIABILITY ARISING OUT OF OR RELATING TO ANY LETTER OR THIS AGREEMENT SHALL BE LIMITED TO DIRECT DAMAGES NOT TO EXCEED THE FEES PAID BY CLIENT FOR THE SPECIFIC LETTER GIVING RISE TO THE CLAIM; IN NO EVENT SHALL SUPPORTER BE LIABLE FOR INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to choice-of-law principles.

ENTIRE AGREEMENT

This Agreement, together with any executed support letters and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and negotiations, whether written or oral. Any amendment or modification must be in writing and signed by both parties.

REPRESENTATIONS AND AUTHORITY

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder, and that the person signing this Agreement on its behalf is authorized to bind the party.

NOTICES

ADDITIONAL PROVISIONS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other party, except that Supporter may assign to an affiliate or successor entity that assumes Supporter's obligations.
