BUSINESS SUPPORT SUPPLEMENT

Recitals

WHEREAS, Service Provider and Client are parties to a Master Services Agreement dated (the "Master Agreement"); and

WHEREAS, the parties desire to supplement the Master Agreement to set forth additional support services, fees and terms as set forth in this Business Support Supplement (this "Supplement").

NOW, THEREFORE, in consideration of the mutual promises contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows.

Scope of Work

Service Provider shall provide the support services described below in accordance with the terms of the Master Agreement and this Supplement. The specific tasks, deliverables, service levels and exclusions are set forth in the Scope of Work.

Payment Terms

Total Fee for Services: $

Late Payment Fee: on overdue balances, compounded monthly to the extent permitted by law.

Client shall reimburse reasonable, preapproved expenses incurred by Service Provider in performance of the services. All amounts are payable in United States dollars unless otherwise agreed in writing.

Term and Termination

This Supplement commences on the Start Date and continues until the End Date, unless earlier terminated in accordance with this section.

Either party may terminate this Supplement for convenience upon written notice to the other party no fewer than days prior to the effective date of termination.

Either party may terminate for material breach if the breaching party fails to cure the breach within thirty (30) days after receipt of written notice specifying the breach. Termination shall not relieve Client of its obligation to pay for services performed and expenses incurred through the effective date of termination.

Confidentiality

Each party (the "Receiving Party") acknowledges that it may receive Confidential Information of the other party (the "Disclosing Party"). "Confidential Information" means all non-public information disclosed in connection with this Supplement, whether in oral, written, electronic or other form, including business plans, technical data, pricing, customer lists and trade secrets.

The Receiving Party shall (a) use the Confidential Information solely for the performance of this Supplement, (b) restrict disclosure to its employees, contractors or agents who have a need to know and are bound by confidentiality obligations at least as protective as those herein, and (c) exercise at least the same degree of care in protecting the Confidential Information as it uses to protect its own confidential information but in no event less than reasonable care.

Upon termination or expiration, the Receiving Party shall promptly return or destroy all Confidential Information of the Disclosing Party and certify such destruction upon request. The obligations under this section shall survive termination for a period of three (3) years, except that trade secrets shall remain protected for as long as they qualify as trade secrets under applicable law.

Governing Law; Dispute Resolution

This Supplement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles.

The parties shall first attempt in good faith to resolve any dispute arising out of or relating to this Supplement through negotiation between senior representatives. If unresolved within thirty (30) days, either party may pursue any remedy available under applicable law.

Representations; Insurance

Each party represents that it has the full corporate power and authority to enter into and perform its obligations under this Supplement. Service Provider shall maintain commercially reasonable insurance appropriate to the services provided and, upon request, shall provide evidence of such insurance to Client.

Entire Agreement; Amendment

This Supplement, together with the Master Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. In the event of any conflict between the terms of this Supplement and the Master Agreement, the terms of this Supplement shall govern.

No amendment or modification of this Supplement shall be effective unless in writing and signed by authorized representatives of both parties.
